MURAL PROJECT DOCUMENT

This Mural Project Agreement (the "Agreement") is made on between Client Name: and Artist Name: .

WHEREAS

WHEREAS, Client owns or controls the premises located at (the "Site") and desires the creation of a mural on the Site; and

WHEREAS, Artist is a professional muralist engaged in the design and installation of public art and represents having the skill, experience, equipment, and personnel necessary to perform the Work described herein; and

WHEREAS, the parties desire to set forth their respective duties, payment terms, intellectual property rights, and other terms governing the design, fabrication, and installation of the mural.

SCOPE OF WORK

Artist shall perform the following services (the "Work"): design, prepare, prime surface as needed, paint, seal, and perform all reasonable site cleanup and finishing work necessary to complete the mural in accordance with the agreed design and specifications.

PAYMENT TERMS

Client agrees to pay Artist the total contract sum of $ for completion of the Work in accordance with this Agreement.

Late payments shall accrue interest at on the outstanding balance, plus reasonable collection costs and attorneys' fees. Artist may suspend Work if payments are more than late after written notice.

TERM AND TERMINATION

The term of this Agreement shall commence on Start Date: and shall continue until Completion Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate for convenience upon days' prior written notice. Termination for material breach may be immediate if the breaching party fails to cure within days after written notice of breach. Upon termination, Client shall pay Artist for all Work performed and non-cancelable commitments incurred through the effective date of termination.

CONFIDENTIALITY

Each party shall keep confidential all non-public information disclosed by the other party in connection with the Work, including designs and proprietary methods, and shall not disclose such information to third parties except as required to perform the Work or as required by law. Confidentiality obligations shall survive termination of this Agreement for years.

INTELLECTUAL PROPERTY; LICENSE

Artist retains the copyright in all designs, drawings, sketches, and the mural artwork (the "Artwork"). Upon full payment, Artist grants Client a non-exclusive, non-transferable license to display and maintain the Artwork on the specified Site. Client may not reproduce, publish, or create derivative works of the Artwork for commercial distribution without Artist's prior written consent, except Client may photograph and publicize the mural for non-commercial promotional purposes provided Artist is credited.

PERMITS, ACCESS, MATERIALS, AND INSURANCE

Client is responsible for obtaining all necessary permissions and permits to install the mural at the Site unless otherwise agreed in writing. Client shall provide safe, timely access to the Site and shall ensure the surface is ready as specified in the Scope of Work. Artist shall provide labor and may supply materials as indicated below.

Artist shall maintain commercial general liability insurance and, where applicable, workers' compensation insurance. Artist will provide proof of insurance upon Client's request. Client may require minimum limits of if agreed in writing.

WARRANTY; MAINTENANCE

Artist warrants that the Work shall be free from defects in workmanship for a period of months following completion. This warranty does not cover damage due to vandalism, unauthorized alterations, environmental conditions beyond normal exposure, failure of underlying surfaces, or lack of maintenance. Client agrees to follow reasonable maintenance recommendations provided by Artist.

INDEMNIFICATION

Each party shall indemnify, defend, and hold harmless the other party and its officers, agents, and employees from and against any claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of the negligent acts or willful misconduct of the indemnifying party in performing its obligations under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any attachments, exhibits, or design approvals executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment shall be effective unless in writing and signed by both parties.

MISCELLANEOUS

Any notices required or permitted shall be in writing and delivered to the contact information provided above. If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the other party's prior written consent, except that Client may assign to a successor in interest to the Site.
