RECITALS

WHEREAS, Client desires to commission Artist to create, paint, and install a mural at Project Location: (the "Site") in accordance with the terms and specifications set forth herein; and

WHEREAS, Artist represents that Artist has the experience, skill, and capacity to create the mural and perform the services described in this Agreement in a professional manner consistent with industry standards; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the design, fabrication, and installation of the mural.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. SCOPE OF SERVICES

1.1 Services. Artist shall provide all design, materials, labor, supervision, equipment, and installation services necessary to complete the mural as described in the Design and Specifications detailed below and in Exhibit A (the "Services"). Artist shall perform the Services in a professional and workmanlike manner consistent with industry standards.

2. MATERIALS, PERMITS, AND ACCESS

2.1 Materials. Artist shall supply consumable materials and tools as necessary. Major structural materials or substrates will be the responsibility of: .

2.2 Permits and Approvals. The party responsible for procuring permits, licenses, and approvals required by City, County, or building management is: Artist Client. If Client will obtain permits, Client shall provide proof of issuance to Artist prior to commencement of on-site work.

2.3 Access. Client shall provide Artist and Artist's agents reasonable access to the Site during the agreed work hours and shall ensure safe working conditions and any necessary security clearances.

3. COMPENSATION AND PAYMENT

3.1 Contract Price. Client shall pay Artist a total fee of $ (the "Fee") for the Services, subject to additions and deductions as provided herein.

3.2 Deposit. A non-refundable deposit of $ is due upon execution of this Agreement. The deposit shall be applied to the Fee.

3.3 Final Payment. Final payment, including any retainage, is due upon completion of the Services and acceptance by Client. Title to removable materials shall remain with Artist until payment in full is received.

4. SCHEDULE; DELAYS

4.1 Schedule. Artist shall commence work on or about and shall substantially complete the mural by , subject to adjustments for weather, permit delays, or other causes beyond Artist's control.

4.2 Excusable Delays. Neither party shall be liable for delay or failure to perform due to causes beyond its reasonable control, provided the delayed party gives notice and uses commercially reasonable efforts to resume performance.

5. CHANGE ORDERS

5.1 Changes. Any changes to the Scope of Services shall be made only by written change order signed by both parties describing the change, adjustment to the Fee, and adjustment to the schedule. Change orders may include an hourly rate for additional labor: $ per hour.

6. OWNERSHIP, COPYRIGHT, AND MORAL RIGHTS

6.1 Ownership. Upon receipt of final payment, physical ownership of the installed mural transfers to Client to the extent permitted by law. Except as expressly set forth below, Artist retains all copyrights and moral rights in the artwork.

6.2 License. Artist grants Client a non-exclusive, non-transferable license to use images of the mural for promotional purposes related to the Site. Specific licensing terms or transfer of copyright:

6.3 Moral Rights. Artist expressly reserves moral rights to attribution and integrity to the fullest extent permitted by law. Client shall not intentionally alter the mural in a manner that would be prejudicial to Artist's honor or reputation without Artist's prior written consent.

7. WARRANTY AND MAINTENANCE

7.1 Warranty. Artist warrants that the Services will be free from material defects in workmanship for a period of from the date of completion. This warranty does not cover damage due to vandalism, acts of God, normal weathering, or lack of maintenance.

8. INSURANCE AND INDEMNIFICATION

8.1 Insurance. Artist shall maintain commercial general liability insurance with limits of not less than $ per occurrence and shall provide proof of insurance to Client upon request.

8.2 Indemnification. Each party shall indemnify, defend, and hold harmless the other party from claims, damages, liabilities, costs, and expenses arising from the indemnifying party's breach of this Agreement, negligence, or willful misconduct. Artist's indemnity obligations shall be limited to claims arising out of Artist's performance of the Services.

9. TERMINATION

9.1 Termination for Cause. Either party may terminate this Agreement for material breach by the other if the breaching party fails to cure the breach within days after written notice.

9.2 Effect of Termination. Upon termination, Client shall pay Artist for Services performed to the date of termination and for any non‑cancelable commitments properly incurred by Artist.

10. PUBLICITY AND PHOTOGRAPHY

10.1 Publicity. Artist may photograph the mural and use images for Artist's portfolio, social media, and promotional materials unless Client checks here to withhold permission: .

11. NOTICES

Notices shall be in writing and delivered by hand, by nationally recognized courier, or by certified mail to the addresses specified above and shall be effective upon receipt.

12. AMENDMENTS AND WAIVER

This Agreement may be amended only by a written instrument signed by both parties. No failure or delay by either party in exercising any right under this Agreement shall operate as a waiver of that right.

13. MISCELLANEOUS

13.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles.

13.2 Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
