MUSEUM EVENT RENTAL AGREEMENT

This Museum Event Rental Agreement (Agreement) is made effective as of .

WHEREAS

WHEREAS, Museum Name: is the owner and operator of the facilities and collections located at the address above and has authority to license the use of the premises for special events; and

WHEREAS, Renter Name: desires to rent certain areas of the museum for the Event described herein and the Museum is willing to permit such use under the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

Either party may terminate this Agreement for material breach by the other upon written notice and a reasonable cure period as required by law. Termination by the Museum for cause shall not relieve the Renter of its obligation to pay fees incurred prior to termination.

Insurance; Indemnity

Renter shall procure and maintain, at its sole cost and expense, commercial general liability insurance with minimum limits of naming the Museum as an additional insured and providing primary coverage. Certificates of insurance shall be delivered to the Museum no later than the deposit due date.

Indemnification: Renter shall indemnify, defend and hold harmless the Museum, its trustees, officers, employees and agents from and against all claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of or resulting from Renter's use of the premises, acts or omissions of Renter or its invitees, or failure to comply with any provision of this Agreement, except to the extent caused by the Museum's gross negligence or willful misconduct.

Confidentiality

Each party agrees that it will not, without the prior written consent of the other party, disclose confidential information obtained in connection with this Agreement, including non-public information regarding collections, provenance, donor information, security protocols, or privileged communications. Confidential information shall not include information that is or becomes publicly available other than by breach of this Section or is rightfully received from a third party without restriction. The obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years.

Compliance; Permits; Alcohol & Catering

Renter shall comply with all applicable laws, ordinances, museum policies and rules governing the use of the premises. Renter is responsible for obtaining and paying for any permits or licenses required for the Event, including permits for amplified sound, food service, and alcohol service.

Damage, Repairs, and Cleaning

Renter shall be responsible for all damage to the premises and collections caused by Renter or its guests. The Museum may apply the security deposit to repair costs or cleaning beyond normal wear and tear. Any amounts in excess of the security deposit shall be due upon receipt of an invoice.

Force Majeure; Cancellation

Neither party shall be liable for delays or failures in performance resulting from events beyond its reasonable control, including acts of God, government restrictions, acts of public enemies, epidemics, fire, flood, or labor disputes. In the event of cancellation due to such causes, the parties shall negotiate in good faith to reschedule the Event or allocate prepaid amounts equitably.

If Renter cancels for convenience, cancellation fees shall apply as follows: cancellations more than days prior to the Event will result in refund of amounts paid less the deposit; cancellations within that period may forfeit deposit and additional fees as set forth by the Museum's policy.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of laws principles.

Entire Agreement; Amendment

This Agreement, together with any exhibits or addenda signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and understandings. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.
