MUSIC COLLABORATION AGREEMENT

This Music Collaboration Agreement (the Agreement) is entered into on this day of , by and between:

RECITALS

WHEREAS, Party A and Party B desire to collaborate on the creation, recording, production and exploitation of certain musical compositions and sound recordings (collectively, the Work), and to set forth the terms and conditions governing their collaboration, ownership, compensation and credits;

WHEREAS, each party represents that it has full power and authority to enter into this Agreement, and that contributions to the Work will not infringe third-party rights; and

WHEREAS, the parties wish to record their respective contributions, rights, compensation and obligations in writing to avoid future disputes.

DEFINITIONS

Work means the musical composition(s), lyrics, arrangement, and any master sound recording produced pursuant to this Agreement. Contribution means the specific creative input provided by a party, including but not limited to melody, lyrics, arrangement, instrumental performance, production, and programming. Net Receipts means gross income actually received by the parties from exploitation of the Work less bona fide third-party collection fees and agreed direct costs related to exploitation, as further provided below.

SCOPE OF WORK

CONTRIBUTIONS; OWNERSHIP; RIGHTS

Each party shall retain ownership of pre-existing materials contributed to the Work, and jointly own the new elements created for the Work as follows. The parties agree the principal composition title is:

Unless expressly assigned in writing, each party grants the other a non-exclusive license to use its pre-existing contribution solely in connection with the Work. Any transfer of exclusive rights, publishing administration, or registration with performance rights organizations shall require a separate written agreement signed by both parties.

PAYMENT TERMS

Compensation for services, production fees, advances and splits relating to master recording income shall be as follows. Total agreed production/advance amount to be paid by Party A to Party B (if applicable):

Late payments shall incur interest at the rate of on overdue amounts, together with reasonable collection costs. All payments shall be made in lawful currency.

ROYALTIES, ACCOUNTING AND EXPENSES

Revenue derived from the exploitation of the Work shall be accounted for net of third-party aggregator fees, mechanical or statutory deductions, and agreed direct expenses. Net Receipts will be split per the composition split above for publishing and per the parties' agreement for master royalties and income. Detailed accounting shall be provided quarterly within 60 days of quarter end, with payment of any amounts due within 30 days of accounting delivery.

CREDITS

Credit on any exploitation of the Work will read as follows unless otherwise agreed: . Neither party shall remove the credit line without the other party’s written consent.

TERM AND TERMINATION

This Agreement commences on and continues until unless earlier terminated in accordance with this section.

Either party may terminate for material breach not cured within days after written notice. Termination shall not affect accrued rights, payment obligations, nor the parties’ respective ownership of completed contributions to the Work.

CONFIDENTIALITY

Each party shall keep confidential all non-public information disclosed by the other party in connection with this Agreement, including unreleased masters, demos, mixes, business terms and financial information, and shall not disclose such information except to its employees, agents or professional advisers on a need-to-know basis and subject to obligations of confidentiality. Confidentiality obligations survive termination for a period of three (3) years.

REPRESENTATIONS, WARRANTIES AND INDEMNITY

Each party represents and warrants that: (a) it has the full right, power and authority to enter into and perform this Agreement; (b) its contributions are original or cleared for use; and (c) performance under this Agreement will not violate any agreement or obligation to any third party. Each party shall indemnify and hold harmless the other from losses, liabilities, damages and expenses (including reasonable attorneys’ fees) arising from breach of the foregoing representations or third-party claims based on a party’s acts or omissions.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction mutually agreed to by the parties: . MISCELLANEOUS
