WHEREAS, Band has represented that it possesses the skill, personnel, equipment and licenses necessary to perform and agrees to provide such services in a professional manner consistent with industry standards.

Late Fee: If any payment is more than days late, interest will accrue at or a flat fee of $, whichever is greater.

Cancellation; Force Majeure

If Client cancels more than days prior to the Event Date, the deposit is refundable minus reasonable administration costs. If Client cancels within days of the Event Date, Client shall pay of the total Performance Fee as a cancellation fee.

Force Majeure: Neither party shall be liable for failure to perform its obligations hereunder where such failure is caused by acts of God, national emergencies, labor strikes, government actions or other causes beyond the party’s reasonable control. Affected party must provide prompt written notice to the other party.

Term and Termination

This Agreement is effective on the date signed below and shall continue in effect through completion of the Event and final payment, unless earlier terminated in accordance with this Agreement. Either party may terminate for material breach if the breaching party fails to cure within days after written notice.

Confidentiality

Each party agrees that all non-public information disclosed by one party to the other in connection with this Agreement (including technical requirements, pricing, client lists, or contract terms) shall be kept confidential and shall not be disclosed to third parties without prior written consent, except as required by law. Confidentiality obligations shall survive termination of this Agreement for a period of two (2) years.

Indemnification & Insurance

Each party shall indemnify, defend and hold harmless the other party, its officers, agents and employees from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of the indemnifying party’s negligent acts or omissions or willful misconduct in connection with the Event. Client shall maintain general liability insurance covering the Event, and Band is responsible for the insurance for its personnel and equipment. Evidence of insurance may be required upon request.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state specified by mutual agreement of the parties. Any dispute arising under this Agreement shall be resolved by binding arbitration or a court of competent jurisdiction in the agreed state. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations or agreements, written or oral. Any modification must be in writing and signed by both parties.
