MUSIC EVENT DJ CONTRACT

This Music Event DJ Contract (the Agreement) is entered into between Client Name: and DJ Name: on this date: for the performance described below.

WHEREAS

WHEREAS, Client engages DJ to provide professional disc jockey and related audio/entertainment services for a private or public event described herein; and

Either party may terminate this Agreement for material breach, provided that the non-breaching party gives written notice and a cure period of Notice Period (days): days to cure. If the breach is not cured within the stated period, the Agreement may be terminated and remedies pursued as provided herein.

CANCELLATION AND FORCE MAJEURE

If Client cancels the engagement more than 60 days prior to the Event Date, the deposit shall be retained by DJ and no further sums shall be due. If Client cancels within 60 days of the Event Date, Client remains responsible for the full agreed Total Fee unless DJ is able to rebook the date, in which case a mitigation credit may be applied at DJ's discretion. Neither party shall be liable for failure to perform due to causes beyond their reasonable control, including but not limited to acts of God, government restrictions, strikes, epidemics or severe weather; in such event the parties shall use reasonable efforts to reschedule.

CONFIDENTIALITY

Each party agrees to maintain in confidence any non-public business, technical or financial information obtained from the other party in connection with this Agreement and not to disclose such information to any third party without prior written consent, unless required by law. Confidential information does not include information that (a) is in the public domain through no breach of this Agreement, (b) was known to the receiving party prior to disclosure, or (c) is rightfully obtained from a third party without restriction.

INDEMNIFICATION

Client shall indemnify, defend and hold harmless DJ and DJ's agents, employees and contractors from and against any claims, liabilities, losses or expenses (including reasonable attorney fees) arising out of Client's negligence, willful misconduct, violation of law, or breach of this Agreement. DJ shall similarly indemnify Client for DJ's negligence or willful misconduct in performance of services.

INSURANCE

DJ represents that DJ maintains general liability insurance appropriate to DJ's scope of services. Upon request, DJ will provide proof of insurance. Client may require specific additional insured status or higher limits by written notice prior to execution of this Agreement; additional costs shall be borne by the party requesting such coverage.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including all attachments and written appendices signed by both parties, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment to this Agreement must be in writing and signed by both parties.

MISCELLANEOUS

Should any provision of this Agreement be held invalid or unenforceable, the remaining provisions shall continue in full force and effect. Waiver of any breach shall not constitute a waiver of any subsequent breach.
