Force Majeure: Neither party shall be liable for delay or failure in performance caused by events beyond reasonable control, provided that the affected party gives prompt written notice and uses reasonable efforts to resume performance. If performance is prevented for more than the period specified in the notice provisions, either party may terminate this Agreement and the parties will settle sums due in accordance with the Payment Terms above.

Orchestra confirms it is engaged as an independent contractor and is responsible for all taxes and benefits for its personnel. Presenter shall not withhold or pay payroll taxes on behalf of Orchestra.

Confidentiality

Each party shall maintain as confidential all non-public business information disclosed by the other party in connection with this Agreement, including musical arrangements, pricing, and technical riders. Confidential information shall not be used for any purpose other than performance under this Agreement and shall not be disclosed to third parties except to those having a need to know and who are bound by confidentiality obligations no less protective than those herein. This obligation survives termination for a period of three (3) years.

Indemnity

Each party shall indemnify, defend and hold harmless the other party from and against any claims, liabilities, losses, damages, costs or expenses (including reasonable attorneys' fees) arising out of the indemnifying party's negligence, willful misconduct, or breach of this Agreement, except to the extent caused by the indemnified party's negligence or willful misconduct.

Governing Law; Entire Agreement

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws rules.
