Music Industry Musician Agreement

This Music Industry Musician Agreement (the "Agreement") is made as of by and between:

Recitals

WHEREAS, Producer / Company requires the services of a professional musician to perform, record and/or provide musical contributions in connection with Producer's recordings, performances and related promotional activities; and

WHEREAS, Musician represents that Musician possesses the skill, experience and necessary rights to perform the services described in this Agreement and is willing to provide such services as an independent contractor on the terms set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

Scope of Work

Payment Terms

Producer shall pay Musician the compensation set forth below in full consideration for all services rendered under this Agreement, subject to the terms and conditions herein.

Term and Termination

This Agreement commences on and continues until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above after receipt of written notice. Termination by Producer for convenience prior to completion of services shall require payment to Musician for all services performed and non-cancellable commitments reasonably incurred up to the effective date of termination.

Confidentiality

Musician acknowledges that Producer may disclose confidential and proprietary information ("Confidential Information") in connection with this Agreement. Musician shall hold all Confidential Information in strict confidence, shall not use Confidential Information except to perform obligations under this Agreement, and shall not disclose Confidential Information to any third party without Producer's prior written consent. Confidentiality obligations survive termination or expiration of this Agreement for a period of three (3) years.

Ownership; Grant of Rights

Musician hereby irrevocably assigns to Producer, to the fullest extent permissible by law, all right, title and interest in and to the performances, recordings, masters, and any contributions made by Musician pursuant to this Agreement (collectively, the "Contributions"). To the extent an assignment is not effective at law, Musician grants Producer an exclusive, perpetual, worldwide, transferable, sublicensable license to exploit the Contributions for all media now known or hereafter devised. If applicable law requires a work-for-hire designation, the parties intend that the Contributions be treated as a "work made for hire" to the extent permitted.

Representation, Warranties, and Indemnification

Musician represents and warrants that (a) Musician has the full right, power and authority to enter into this Agreement and to grant the rights herein; (b) the Contributions will be original and will not infringe or misappropriate any third party rights; and (c) all necessary consents from third parties (including other performers, publishers or session participants) have been obtained. Musician shall indemnify, defend and hold Producer harmless from and against any and all claims, liabilities, losses and expenses (including reasonable attorneys' fees) arising out of a breach of the foregoing representations and warranties.

Independent Contractor; Taxes

Musician shall perform services as an independent contractor. Nothing in this Agreement shall be construed to create an employer-employee, partnership, joint venture or agency relationship. Musician shall be solely responsible for all federal, state and local taxes, contributions and withholdings arising from the compensation paid hereunder.

Expenses and Travel

Producer will reimburse pre-approved, reasonable out-of-pocket expenses directly related to the services (travel, lodging, instrument shipping) upon submission of receipts within thirty (30) days. Reimbursement shall not exceed:

Insurance

Musician shall maintain, at Musician's expense, general liability insurance and any other insurance reasonably required by Producer for the duration of the term. Upon request, Musician shall provide certificates of insurance evidencing such coverage.

Force Majeure

Neither party shall be liable for failure or delay in performance to the extent caused by acts beyond its reasonable control, including acts of God, governmental action, pandemics, strikes, or inability to secure necessary services or materials; provided that the non-performing party gives prompt written notice to the other party and uses commercially reasonable efforts to resume performance.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration, unless the parties mutually agree in writing to litigation.

Entire Agreement; Amendment

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings and representations. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Headings are for convenience only and shall not affect interpretation. No waiver by either party of any breach shall be deemed a waiver of any subsequent breach.
