MUSIC INDUSTRY MUSICIAN CONTRACT

This Music Industry Musician Contract ("Agreement") is entered into by and between Musician Name: and Engager Name: . Collectively the parties are "the Parties."

WHEREAS

WHEREAS, Engager is in the business of producing, financing, distributing and exploiting musical recordings and related audiovisual materials; and

WHEREAS, Musician is a professional musical performer, composer and/or recording artist with experience in providing musical performances and recording services and desires to render Services to Engager on the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual promises contained herein, the Parties agree as follows:

1. SCOPE OF WORK

Specific deliverables shall include: Recording Sessions, Mixed Masters, Stems, Performance(s), and any audiovisual recordings as described above. Musician shall perform the Services in a professional manner consistent with industry standards.

2. PAYMENT TERMS

Deposit (if any): due upon execution. Balance due as set forth in the Payment Schedule.

Royalties applicable: Yes No If yes, percentage to Musician: % and payment schedule as set in the Payment Schedule.

Any undisputed late payment shall incur interest at % per month (or highest lawful rate if lower) after a grace period of days from invoice.

Either Party may terminate this Agreement upon written notice to the other Party in the event of a material breach that remains uncured for days following receipt of written notice. Engagement may also be terminated without cause by either Party upon days' written notice, subject to payment for Services rendered through the effective date of termination and any non-cancellable expenses incurred.

4. CONFIDENTIALITY

"Confidential Information" means non-public business, financial, technical, creative and marketing information disclosed by one Party to the other relating to recordings, unreleased works, mixes, deal terms, or proprietary processes. Recipient shall not disclose Confidential Information to any third party except to its employees, contractors and advisors who have a strict need to know and who are bound by confidentiality obligations no less restrictive than those contained herein.

Confidential Information shall not include information that (a) is or becomes generally known to the public without breach of this Agreement, (b) is independently developed by Recipient without reference to the disclosing Party's Confidential Information, or (c) is required to be disclosed by law or by valid court or governmental order, provided Recipient gives prompt written notice and cooperates with reasonable efforts to limit the disclosure or obtain confidential treatment.

5. OWNERSHIP OF WORKS; INTELLECTUAL PROPERTY

Unless otherwise agreed in writing below, Musician hereby assigns to Engager all right, title and interest in and to the masters, fixed recordings and performances created pursuant to this Agreement and any sound recordings embodying such performances, including all copyrights, whether now known or hereafter discovered, subject to applicable moral rights and third-party composer rights.

6. INDEPENDENT CONTRACTOR; WARRANTIES

Musician is an independent contractor and not an employee, agent or partner of Engager. Musician is solely responsible for all taxes, insurance, benefits and statutory obligations arising from payments made under this Agreement.

Musician represents and warrants that (a) Musician has the full right and authority to enter into this Agreement; (b) the Services and Deliverables will be original and will not infringe the rights of any third party; and (c) all necessary consents for any third-party material used in the Deliverables have been or will be obtained.

7. INDEMNIFICATION

Each Party shall indemnify, defend and hold harmless the other Party and its officers, directors, employees and agents from and against any losses, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of a breach of the indemnifying Party's representations, warranties or covenants set forth in this Agreement, or from third-party claims arising from the indemnifying Party's negligence or willful misconduct.

8. LIMITATION OF LIABILITY; NO CONSEQUENTIAL DAMAGES

Except for a Party's indemnification obligations or a breach of confidentiality or intellectual property provisions, neither Party shall be liable for indirect, incidental, consequential or punitive damages. Except in cases of willful misconduct or gross negligence, a Party's aggregate liability under this Agreement shall not exceed the total compensation actually paid to Musician under this Agreement.

9. FORCE MAJEURE

Neither Party shall be responsible for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, government action, epidemic, pandemic, labor disputes, or failures of suppliers or subcontractors; provided the affected Party promptly notifies the other and uses commercially reasonable efforts to resume performance.

10. NOTICES

All notices must be in writing and delivered to the addresses below by hand, nationally recognized overnight courier, certified mail (return receipt requested) or email (with confirmation of receipt).

11. GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. The Parties agree that any dispute arising under this Agreement shall be resolved by arbitration in the county of the governing law state unless the Parties mutually agree otherwise.

12. ENTIRE AGREEMENT; AMENDMENT; SEVERABILITY

This Agreement, including any schedules and exhibits attached hereto and incorporated by reference, constitutes the entire agreement between the Parties relating to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both Parties. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13. MISCELLANEOUS PROVISIONS

Assignment: Neither Party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other Party, except that Engager may assign to an affiliate or successor in connection with a sale of substantially all of its assets.

Publicity: Neither Party shall use the other Party's name, trademarks or logos in any advertising or publicity without prior written approval, except that Engager may identify Musician as a performing or recording artist in reasonable promotional materials.
