MUSIC INDUSTRY MUSICIANS HANDBOOK AND SERVICES AGREEMENT

This Music Industry Musicians Handbook and Services Agreement (the Agreement) is made and entered into as of Effective Date: by and between Company Name: with principal place of business at (Company), and Musician Name: residing at .

WHEREAS

WHEREAS, Company engages professional musicians and personnel for recording, live performance, and related musical services and wishes to adopt standards, obligations and commercial terms applicable to engaged musicians; and

WHEREAS, Musician has the professional skill, experience, and availability to perform the services described in this Agreement and agrees to comply with Company policies, performance standards, and the specific scope of work described below; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, Company and Musician agree as follows.

SCOPE OF SERVICES

Musician shall provide musical services as set forth below, which shall include but are not limited to rehearsals, studio recordings, live performances, promotional appearances, and any ancillary services reasonably related to such activities. Specific engagements, deliverables, performance dates and locations shall be scheduled and confirmed in writing in advance through standard engagement notices.

STANDARD DUTIES, CONDUCT AND CREDITS

Musician shall: attend rehearsals and calls punctually; maintain professional conduct; comply with safety and venue rules; and perform to industry standards. Musician shall provide accurate biographical and credit information and shall be credited in marketing, liner notes and digital metadata consistent with customary industry practice and as reasonably determined by Company.

Musician acknowledges rehearsal schedule and agrees to make commercially reasonable efforts to attend and be prepared.

PAYMENT TERMS

In consideration for the Services, Company shall pay Musician as set forth below. All amounts are exclusive of applicable taxes unless otherwise provided. Company may withhold taxes where required by law.

If any payment due to Musician is not received within the agreed invoice period, Company shall pay the late fee described above in addition to costs of collection, including reasonable attorneys’ fees. Where applicable, royalty arrangements and mechanical or performance royalties shall be documented in separate schedules attached to engagement notices.

TERM AND TERMINATION

Either party may terminate this Agreement in accordance with the notice period above except in the event of material breach, willful misconduct, or insolvency, in which case the non-breaching party may terminate immediately and seek remedies permitted by law.

CONFIDENTIALITY

Musician and Company each acknowledge that, during the course of performance, they may receive Confidential Information (including but not limited to recording files, unreleased compositions, financial terms and marketing plans). Each party agrees: (a) to hold Confidential Information in strict confidence; (b) not to disclose Confidential Information to any third party except as required to perform obligations hereunder or as required by law; and (c) to return or securely destroy Confidential Information upon termination or request. Confidentiality obligations survive for years following termination.

INTELLECTUAL PROPERTY

Unless otherwise agreed in a separate written schedule, Company shall own all master recordings and fixed recorded embodiments created pursuant to this Agreement, and Musician hereby assigns to Company all right, title and interest in and to such masters, subject to any pre-negotiated royalty or credit arrangements. Musical composition ownership and publishing splits shall be recorded in writing and signed by the parties for each composition. Musician represents that no third-party consents are required to grant the rights herein.

Musician acknowledges that songwriting credits and splits will be memorialized for each work and that credits are a material term of engagement.

INSURANCE, SAFETY AND EQUIPMENT

Company will notify Musician of any insurance requirements for venue or production activities. Musician is responsible for personal instruments and equipment unless Company agrees in writing to provide or insure same. Musician agrees to comply with safety protocols and remote/work-from-studio requirements where applicable.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that State for purposes of any dispute arising under this Agreement, unless the parties agree in writing to alternative dispute resolution.

ENTIRE AGREEMENT

This Agreement, together with any attached engagement notices, schedules and written addenda, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, whether written or oral. Any amendment must be in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or obligations without the prior written consent of the other, except that Company may assign to an affiliate or purchaser of substantially all of its assets.
