What a Music Industry SoundExchange Letter Is

A Music Industry SoundExchange Letter is a formal written notice or request sent to SoundExchange or a related rights administrator to claim, correct, or direct digital performance royalties and related account information for sound recordings. Typical uses include registering artist or payee details, correcting metadata, claiming unpaid royalties, assigning collection rights, or authorizing a representative. The letter may be delivered on letterhead or as a signed electronic document. Properly prepared letters clarify entitlement, provide supporting identifiers, and reduce processing delays for royalty distribution.

Why a Clear SoundExchange Letter Matters

A precise, well-documented letter speeds royalty allocation, avoids payment misdirection, and creates an auditable record of the claimant’s intent and authority under relevant electronic signature laws such as the ESIGN Act and state UETA statutes.

Why a Clear SoundExchange Letter Matters

Who Typically Prepares and Sends This Letter

Individuals and organizations in the music rights chain prepare SoundExchange letters when they need to establish or correct entitlement, designate a payee, or authorize a representative.

  • Independent recording artists and session musicians claiming featured performer royalties.
  • Record labels and distributors submitting metadata corrections or payee designations.
  • Rights administrators, collection agencies, and legal representatives acting on behalf of owners.

Choose the signer based on authority (owner, authorized representative, or licensed administrator) and retain proof of consent and identity to support any e-signed submission.

Representative Signers and Their Roles

Artist / Performer

An individual recording artist or featured performer who claims entitlement to digital performance royalties. The artist should include legal name, artist/stage name, SoundExchange account number (if available), recording details, and a clear statement of claim or request to change payee information.

Label / Administrator

A label executive, rights administrator, or attorney authorized to act for the rights owner. This signer must demonstrate authorization (contract excerpt or power of attorney) and provide account identifiers plus contact and payment routing information for accurate distribution.

Essential Parts of a Professional SoundExchange Letter

A complete letter organizes identity, entitlement, and supporting documentation clearly. Include identifying numbers, a precise request, evidence of authorship or assignment, and a dated signature block to minimize back-and-forth with the administrator.

Letterhead

Use official business letterhead or include the claimant’s legal name, mailing address, phone number, and email to create a clear contact record and professional presentation.

Recipient

Address to SoundExchange or the specified rights administrator department and include a reference line with account or claimant ID to expedite routing.

Statement of Claim

Succinctly state the purpose (e.g., claim royalties, correct metadata, change payee) and identify recordings by title, artist, ISRC, and release date to allow accurate matching.

Authority

Describe why the sender is authorized (owner, exclusive license, power of attorney) and attach or reference supporting agreements or assignment language where applicable.

Payment Details

Provide payee name, tax ID or SSN as required by the payer, bank routing or remittance instructions if required, and indicate whether a separate W-9 is attached or on file.

Signature

Include a dated handwritten or electronic signature block with signer name, title, and contact info. If e-signed, retain the audit trail showing intent and consent.

Required Information to Include

Claimant Name: Legal name
Artist Name: Stage or performing name
Account Number: SoundExchange ID
Recording IDs: ISRCs, titles
Payment Routing: Bank or payee info
Authority Proof: Contract excerpt

Step-by-Step: Preparing the Letter

Follow these sequential steps to assemble a complete, auditable submission that minimizes delays and supports electronic processing.

  • 01
Gather IDs: Collect ISRCs, SoundExchange account numbers, and release dates.
  • 02
Draft Purpose: State the exact action you request and cite affected recordings.
  • 03
Attach Evidence: Include contracts, agreements, or assignment language as PDFs.
  • 04
Sign and Date: Sign in ink or use a compliant e-signature and include a date.

Customizing the Letter for Electronic Submission

Configure document fields and authentication to balance signer convenience with identity assurance and record integrity.

Field Recommended setting
Signature Field Require explicit signer action
Date Field Auto-fill but allow edit
Attachments Accept PDF, DOCX, image files
Authentication Email + optional SMS code

Where to Send or File Your Letter

Know the correct delivery channel for faster processing: SoundExchange has official submission channels for membership, metadata, and claims.

  • Member Portal: Upload via SoundExchange account interface if available
  • Email Submission: Send to the official claims or metadata inbox per instructions
  • Mail: Use certified mail for physical evidence of receipt
  • Authorized Agent: Submit through a registered rights administrator or attorney

Digital Signing and File Format Considerations

Use a platform that preserves audit trails, supports common file formats, and meets required authentication standards for financial and rights documents.

  • File Formats: PDF, DOCX, PDF/A supported
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Authentication: Email, SMS, KBA options

Ensure chosen tools create a tamper-evident final file and retain metadata, timestamps, and signer audit logs that may be required for royalty verification and dispute resolution.

Timing, Deadlines, and What to Expect

Different processes have different response timelines; provide complete documentation to minimize follow-up requests and expedite processing.

Provide W-9 on Request:

W-9 should be submitted when requested to avoid backup withholding

Claim Submission Timing:

Submit as soon as entitlement is identified to avoid missed distributions

Acknowledgment Window:

Expect an acknowledgment or case number after submission

Tax Reporting Dates:

Follow IRS reporting schedules if payments are reportable

Keep Originals:

Retain signed originals and audit logs for compliance and dispute support

Common Mistakes to Avoid

  • Incomplete identifiers: omitting ISRCs or incorrect track titles leads to unmatched claims and delayed payments.
  • Missing authority: sending a letter without proof of ownership or authorization triggers verification requests and potential rejection.
  • Incorrect payee data: providing mismatched legal names or tax IDs can cause backup withholding or misdirected funds.
  • Insufficient supporting docs: failing to attach contracts, splits, or assignment language prolongs adjudication and increases dispute risk.

Consequences of Errors or Incomplete Letters

Lost Royalties: Delayed or forfeited payments
Payment Misrouting: Funds sent to wrong payee
Backup Withholding: Withheld taxes on incorrect TIN
Verification Delays: Longer processing times
Dispute Risk: Costly resolution process
Record Rejection: Submission returned as invalid

Real-World Use Cases

The following examples show how different parties use a SoundExchange letter to resolve common rights and payment issues.

Independent Artist Claim

An independent artist discovers missing royalties and submits a letter with ISRCs and a copy of the release agreement

  • The submission identifies five unmatched recordings
  • SoundExchange reconciles payments after verification and updates the artist’s payment routing and account details to prevent future misallocation.

Label Metadata Correction

A label notices incorrect artist credits in distributed metadata and sends a correction letter with supporting label release documents

  • The label provides corrected ISRCs and liner notes
  • The administrator updates metadata and reruns attribution to ensure future streams credit the correct performers.
