MUSIC RECORDING SESSION RELEASE

Parties

Recitals

WHEREAS, Artist Name: (the "Artist") is a performing artist who will perform musical works during a recording session; and

WHEREAS, Producer/Company: (the "Producer") operates facilities for audio recording and desires to record and exploit certain performances by the Artist under the terms set forth below.

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the recording session, ownership and exploitation of the resulting recordings, and compensation to the Artist.

Scope of Work

Ownership; Grant of Rights; Use of Recordings

1. Ownership. All raw recordings, mixed masters, stems and final masters created in connection with the session (collectively, the "Recordings") shall be considered works made for hire for the Producer. To the extent any Recordings are not works made for hire under applicable law, Artist hereby irrevocably assigns and transfers to Producer all right, title and interest, including all copyrights and renewal rights, in and to the Recordings throughout the world in perpetuity.

2. Grant of Rights. Artist grants Producer the exclusive, transferable, sublicensable right to reproduce, distribute, publicly perform, display, license, synchronize, adapt and otherwise exploit the Recordings and Artist's name, likeness, voice and biographical information in connection with the Recordings in all media now known or hereafter devised.

3. Credits. Producer agrees to use commercially reasonable efforts to include Artist credit on primary releases of the Recordings in a manner consistent with industry practice. The specific credit format shall be determined by Producer in good faith.

Compensation and Payment Terms

Payment to Artist for services rendered under this Release shall be as follows:

Term and Termination

This Release commences on Start Date: and shall continue until End Date: unless earlier terminated as provided herein.

Either party may terminate this Release for material breach by the other party if the breaching party fails to cure such breach within Notice Period: days after receiving written notice. Termination shall not affect Producer's ownership of any Recordings previously created consistent with this Release.

Confidentiality

The parties acknowledge that certain information disclosed in connection with the session, including unreleased compositions, mix notes and commercial terms, may be confidential. Each party agrees not to disclose Confidential Information of the other party to third parties except as required to perform obligations under this Release or as required by law. Confidentiality obligations survive termination for a period of two (2) years.

Warranties; Indemnity

Artist represents and warrants that Artist has the full right and authority to enter into this Release and to grant the rights granted herein, and that the Artist's performance will not infringe the rights of any third party. Artist shall indemnify and hold harmless Producer from any claims, damages or liabilities arising from breach of such representations or from Artist's negligent or willful acts.

Use of Likeness; Moral Rights

Artist grants Producer the right to use Artist's name, image and likeness in connection with promotion, advertising and exploitation of the Recordings. Artist hereby waives any moral rights in the Recordings to the extent permitted by law and agrees not to assert any claim based on derogatory treatment or modification of the Recordings.

Governing Law; Entire Agreement

This Release shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

This Release constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, whether written or oral. Any amendment or modification must be in writing signed by both parties.

Miscellaneous Provisions

If any provision of this Release is held invalid or unenforceable, the remainder of this Release shall remain in full force and effect. Neither party may assign this Release without the prior written consent of the other, except that Producer may assign to an affiliate or successor in interest.

Notices required under this Release shall be in writing and delivered to the contact addresses provided above.
