MUSIC ROYALTY AGREEMENT

This Music Royalty Agreement (this "Agreement") is made and entered into as of Date: by and between Licensor Name: (Licensor), and Licensee Name: (Licensee). Licensor and Licensee are each a "Party" and collectively, the "Parties."

RECITALS

WHEREAS, Licensor is the owner or exclusive licensee of certain musical compositions and/or sound recordings more particularly described as: (the "Works");

WHEREAS, Licensee desires to exploit, distribute, sell, license and otherwise commercially exploit the Works in the Territory and Media set forth below; and

WHEREAS, Licensor desires to grant to Licensee certain rights to the Works in consideration for the payment of royalties under the terms and conditions of this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the following meanings:

"Territory" means the geographic territory in which Licensee is authorized to exploit the Works: .

"Term" means the initial term of this Agreement, commencing on the Effective Date and continuing for years, unless earlier terminated in accordance with this Agreement.

2. GRANT OF RIGHTS

Licensor hereby grants to Licensee an exclusive/non-exclusive (select as applicable): Exclusive Non-Exclusive license to reproduce, distribute, publicly perform, digitally transmit, sublicense and otherwise exploit the Works in the Territory and in the following media: .

The rights granted herein shall not include the right to assign or otherwise transfer Licensor's underlying copyright ownership except as expressly set forth in Section 12.

3. TERM

The Term shall commence on the Effective Date and shall continue for the period specified in Section 1 unless earlier terminated pursuant to the termination provisions of this Agreement. Upon expiration of the Term, Licensee's rights shall cease except as expressly provided in Section 10 (Effects of Termination).

4. ROYALTIES; PAYMENT

Licensee shall pay Licensor royalties equal to percent of Net Receipts derived from exploitation of the Works. "Net Receipts" means gross receipts actually received by Licensee from exploitation of the Works less customary and reasonable deductions such as taxes, credits, refunds and third-party distribution fees.

Royalty payments shall be made on a basis, within days after the end of each reporting period, accompanied by a statement detailing the calculation of amounts due.

5. ACCOUNTING AND AUDIT RIGHTS

Licensee shall deliver to Licensor true and complete royalty statements for each reporting period showing gross receipts, allowable deductions, Net Receipts and amounts payable with reasonable supporting detail. Licensor shall have the right, not more than once per calendar year and upon reasonable prior notice, to audit Licensee's books and records that pertain to the calculation of royalties, at Licensor's expense, provided any material underpayment greater than is discovered, Licensee shall promptly pay the shortfall plus interest at a rate of .

6. REPRESENTATIONS AND WARRANTIES

Licensor represents and warrants that: (a) Licensor owns or controls the rights granted herein and has full authority to enter into this Agreement; (b) the Works do not infringe any third party rights; and (c) no licenses or agreements exist that would materially conflict with the rights granted to Licensee, except as disclosed in writing to Licensee.

Licensee represents and warrants that: (a) it shall exploit the Works in a commercially reasonable manner and comply with applicable law; and (b) it shall timely account and pay royalties as required by this Agreement.

7. INDEMNIFICATION

Each Party shall indemnify, defend and hold harmless the other Party and its officers, directors, employees and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of a breach of that Party's representations, warranties or obligations under this Agreement, or from the infringement or alleged infringement of any third party rights resulting from that Party's acts or omissions.

8. CONFIDENTIALITY

Each Party shall keep confidential and not disclose to any third party any non-public information disclosed by the other Party relating to this Agreement, including royalty statements, pricing, business plans and trade secrets, except as required by law or to its advisors who are bound by confidentiality obligations.

9. TERMINATION

Either Party may terminate this Agreement upon written notice if the other Party materially breaches any provision of this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach.

In addition, Licensee may terminate this Agreement for convenience upon days' prior written notice to Licensor, subject to payment of royalties accrued through the effective date of termination.

10. EFFECTS OF TERMINATION

Upon termination or expiration, Licensee shall cease exploitation of the Works except as expressly permitted in this Agreement. Licensee shall pay Licensor any unpaid royalties earned prior to the effective date of termination and shall provide a final accounting within days.

11. NOTICES

All notices, consents and other communications required or permitted under this Agreement shall be in writing and delivered to the Parties at their respective addresses set forth above or to such other address as either Party may designate by notice in accordance with this Section. Notice is effective upon personal delivery, delivery by nationally recognized overnight courier, or three (3) days after deposit in the U.S. mail, postage prepaid.

12. ASSIGNMENT AND SUBLICENSE

Licensee may not assign this Agreement or sublicense its rights hereunder except with the prior written consent of Licensor, which consent shall not be unreasonably withheld; provided, however, that Licensee may assign this Agreement without consent to an affiliate or in connection with a merger, sale of substantially all of its assets or similar transaction, provided that the assignee assumes Licensee's obligations hereunder in writing.

13. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes arising out of this Agreement.

14. ENTIRE AGREEMENT; AMENDMENTS

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations. Any amendment or modification of this Agreement shall be in writing and signed by both Parties.

15. WAIVER; SEVERABILITY

No failure or delay by either Party in exercising any right shall operate as a waiver. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and the Parties shall negotiate in good faith to replace the invalid or unenforceable provision with a valid provision that closely approximates the Parties' intent.

16. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures delivered by electronic facsimile or electronic image shall be deemed original signatures for all purposes.

17. MISCELLANEOUS

The Parties acknowledge that they have had the opportunity to consult with counsel. The headings in this Agreement are for convenience only and shall not affect its interpretation.
