This Music Transfer Agreement (the "Agreement") is made as of between Transferor Name: and Transferee Name: .

Recitals

WHEREAS, Transferor is the sole and exclusive owner of all right, title and interest in and to the musical composition(s) and/or sound recording(s) described below (the "Work(s)"), including all copyrights and associated rights; and

WHEREAS, Transferee desires to acquire, and Transferor desires to transfer, all right, title and interest in and to such Work(s) on the terms and conditions set forth in this Agreement.

WHEREAS, the parties intend this transfer to be effective globally and in perpetuity as provided below.

Description of Work

Scope of Work

Transferor hereby assigns, conveys and transfers to Transferee all right, title and interest in and to the Work(s), including but not limited to the entire copyright ownership, renewal rights, registrations, and the right to collect and retain all royalties, fees and other income arising from exploitation of the Work(s) in any form or medium now known or hereafter devised, throughout the world and in perpetuity.

Payment Terms

In consideration for the transfer of rights described herein, Transferee shall pay Transferor the Purchase Price set forth below, subject to the payment schedule and conditions specified.

All payments shall be made in United States Dollars unless otherwise agreed in writing. Transferee is responsible for any taxes, fees or charges imposed in connection with the payments, except for Transferor's income taxes.

Term and Termination

This Agreement shall become effective on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured thirty (30) days after receipt of written notice specifying the breach. Termination shall not affect Transferor's obligations with respect to representations and warranties or any payment obligations accrued prior to termination.

Confidentiality

The parties agree to hold confidential and not to disclose to any third party any confidential or proprietary information disclosed in connection with this Agreement, except to the extent disclosure is required by law or necessary to enforce the rights under this Agreement. Confidentiality obligations shall survive termination or expiration of this Agreement for a period of five (5) years.

Representations and Warranties

Transferor represents and warrants that: (a) Transferor is the sole legal and beneficial owner of the Work(s) and has full right and authority to enter into this Agreement and to grant the rights granted herein; (b) the Work(s) are original and do not infringe upon the rights of any third party; (c) there are no outstanding licenses, liens, claims or encumbrances affecting the Work(s) except as expressly disclosed in writing to Transferee; and (d) Transferor will execute such further instruments and take such further actions as reasonably necessary to effectuate the transfer of rights granted by this Agreement.

Indemnification

Transferor shall indemnify, defend and hold harmless Transferee from and against any and all claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of any breach of Transferor's representations and warranties set forth in this Agreement. Transferee shall provide prompt written notice of any claim for which indemnity is sought and shall cooperate in the defense of such claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflicts of law principles.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral. No amendment or modification of this Agreement shall be binding unless in writing and signed by both parties.

Miscellaneous

The parties agree that the transfer effected by this Agreement is intended to be an absolute assignment of all rights described herein. If any provision of this Agreement is held unenforceable, the remainder of the Agreement shall remain in full force and effect. The rights and obligations under this Agreement shall inure to the benefit of and be binding upon the parties and their respective successors and permitted assigns.
