Late Payment: Unpaid balances shall incur a late fee of on any amount past due until paid in full. Client is responsible for all reasonable collection costs and attorney fees incurred in enforcing payment obligations.

Either party may terminate this booking upon written notice to the other party delivered at least days prior to the event. Termination by Client within the notice period may forfeit all or part of the deposit as liquidated damages. Venue may terminate immediately for material breach or public-safety concerns.

Cancellation and Force Majeure

Cancellation by Client more than the notice period will entitle Venue to retain the deposit only. Cancellation within the notice period or failure to perform shall entitle Venue to payment as set forth in Payment Terms unless excused by force majeure. Force majeure events (including but not limited to acts of God, government orders, pandemic measures, or venue unavailability due to damage) suspend performance obligations and may permit either party to reschedule without liability, subject to reasonable cooperative efforts to mitigate losses.

Confidentiality

Each party agrees that non-public financial terms, technical riders, proprietary production information, and other confidential materials provided in connection with this booking are Confidential Information. Confidential Information shall not be disclosed to third parties without the prior written consent of the disclosing party, except as required by law. Confidentiality obligations survive termination of this booking for a period of two years.

Indemnification and Insurance (Summary)

Client shall indemnify and hold Venue harmless from claims arising from Client's performance, artists, contractors, or attendees, except to the extent caused by Venue's gross negligence or willful misconduct. Client shall procure and maintain general liability insurance with limits reasonably required by Venue and shall provide certificate of insurance upon request.

Governing Law; Entire Agreement

This booking request and any resulting contract shall be governed by and construed in accordance with the laws of the jurisdiction in which the Venue is located, without regard to conflict-of-law principles. This document, together with any attachments or riders signed by both parties, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral.
