MUSIC VIDEO PRODUCTION AGREEMENT

This Music Video Production Agreement ("Agreement") is entered into as of by and between Producer Name: with principal place of business at (hereinafter "Producer"), and Client / Artist Name: with principal place of business at (hereinafter "Client").

RECITALS

WHEREAS, Client is a musical artist or rights holder who owns or controls the rights to the musical composition and sound recording identified as ; and

WHEREAS, Producer is engaged in the business of producing music videos and has the skill, personnel and equipment necessary to produce a music video for Client; and

WHEREAS, Client desires to engage Producer to produce a music video (the "Video") on the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1. ENGAGEMENT; SERVICES

1.1 Engagement. Client hereby engages Producer, and Producer accepts such engagement, to provide production, post-production and delivery services necessary to complete the Video in accordance with this Agreement. Producer shall provide all personnel, equipment, facilities and technical expertise required to perform the Services except as otherwise expressly set forth herein.

1.2 Scope of Services. The scope includes pre-production planning, principal photography, editing, color correction, sound mix, and delivery of Master Video files in the formats specified in Section 2. Any material changes to the scope will be subject to a written change order signed by both parties.

2. PRODUCTION SCHEDULE AND DELIVERABLES

2.1 Schedule. Principal photography is scheduled to commence on and to conclude on . Producer will use commercially reasonable efforts to meet the foregoing dates but is not liable for delays caused by events beyond its control.

2.2 Deliverables. Producer shall deliver the following to Client: (a) a final master video file in format; (b) one promotional short-form clip; and (c) any auxiliary deliverables agreed in writing. Final delivery date: .

3. COMPENSATION; PAYMENT TERMS

3.1 Fee. Client shall pay Producer a total production fee of USD (the "Fee") in accordance with the schedule below.

3.2 Late Payment. Any undisputed amounts not paid when due shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law. Client shall be responsible for reasonable collection costs for late payments.

4. EXPENSES

4.1 Pre-approved Expenses. Client shall reimburse Producer for pre-approved out-of-pocket expenses incurred in connection with the production, including location fees, permits, talent fees, props and equipment rentals, subject to submission of itemized receipts. Budget cap (if any):

5. INTELLECTUAL PROPERTY; LICENSES

5.1 Ownership. Unless otherwise agreed in writing, Producer shall own the underlying raw footage, edits and production materials created by Producer (the "Production Materials"). Client shall receive upon full payment a non-exclusive, worldwide, perpetual license to use the delivered final Video for promotional, commercial and other uses, including exploitation on digital platforms, television, and physical media, subject to the rights of third parties and any restrictions set forth in this Agreement.

5.2 Work Made for Hire; Assignment. To the extent any portion of the Video or Production Materials does not constitute a work made for hire under applicable law, Producer hereby assigns to Client, upon receipt of full payment, all right, title and interest that Producer can assign in the final delivered Video. Notwithstanding the foregoing, Producer retains the right to use non-client logos, behind-the-scenes footage and promotional stills for Producer's self-promotion unless Client provides written notice of restriction at the time of execution.

6. CREDITS; MORAL RIGHTS

Producer shall receive credit as "Video Producer" in reasonable form in the closing credits of the Video and in promotional materials. Client shall not knowingly authorize removal of Producer credit. To the extent permitted by law, Client waives any moral rights in the Video.

7. WARRANTIES; REPRESENTATIONS

Each party represents and warrants that it has full power and authority to enter into this Agreement; that performance will not violate rights of any third party; and that all material provided to Producer (including musical compositions, lyrics and recordings) is either owned or properly licensed by Client such that the use contemplated in this Agreement will not infringe or misappropriate any third-party rights.

8. INDEMNIFICATION

Client shall indemnify, defend and hold Producer harmless from and against any loss, damage, claim or liability (including reasonable attorneys' fees) arising out of Client's breach of representation, Client-supplied materials, or use of the Video other than as expressly authorized. Producer shall indemnify Client for claims arising from Producer's gross negligence or willful misconduct.

9. INSURANCE

Producer shall maintain customary production insurance, including general liability and workers' compensation where applicable. Producer shall provide certificates of insurance upon Client's reasonable request.

10. TERMINATION

Either party may terminate this Agreement upon a material breach by the other party if such breach remains uncured for ten (10) days following written notice. In the event of termination by Client without cause, Client shall pay Producer for all Services performed and non-cancellable obligations incurred through the date of termination, including a reasonable termination fee as set forth below:

11. CONFIDENTIALITY

Each party shall keep confidential any non-public business or creative information of the other party obtained in connection with this Agreement and shall not disclose such information except as required by law or with the other party's prior written consent. Confidentiality obligations survive termination for a period of three (3) years.

12. INDEPENDENT CONTRACTOR

Producer is an independent contractor and not an employee, agent or partner of Client. Producer shall control the manner and means of performing the Services and is responsible for all taxes and withholdings arising from compensation paid hereunder.

13. ASSIGNMENT

Neither party may assign this Agreement or any rights hereunder without the prior written consent of the other party, except that Producer may assign to an affiliate or in connection with a sale of substantially all of its assets so long as the assignee assumes Producer's obligations hereunder.

14. FORCE MAJEURE

Neither party shall be liable for delays or failures to perform caused by events beyond its reasonable control, including acts of God, pandemics, strikes, civil unrest, or governmental restrictions. The time for performance will be extended by a period equal to the duration of such event.

All notices under this Agreement shall be in writing and delivered to the addresses set forth below in a manner reasonably calculated to provide receipt (personal delivery, nationally recognized overnight courier, or certified mail):

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. Failure to enforce any provision shall not constitute a waiver. This Agreement may be executed in counterparts and by electronic signature, each of which shall be deemed an original.

19. MISCELLANEOUS

The headings in this Agreement are for convenience only and shall not affect the interpretation of the provisions. The parties agree to cooperate in good faith to effectuate the purposes of this Agreement.
