MUSICIAN SERVICES AGREEMENT

This Musician Services Agreement (the "Agreement") is entered into as of by and between Client Name: and Musician Name: .

RECITALS

WHEREAS, Client engages performers for musical services in connection with events and desires to retain Musician to perform at the Event described below; and

WHEREAS, Musician represents that Musician has the professional skill, experience and required equipment to perform the musical services described in this Agreement and is willing to provide such services subject to the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows:

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. In the event of termination by Client without cause within of the scheduled performance, Client shall forfeit the deposit and may be liable for additional cancellation fees as provided herein.

Termination for Cause: Either party may terminate immediately for material breach by the other party if such breach remains uncured for days after written notice specifying the breach.

CONFIDENTIALITY

Each party agrees that all nonpublic information disclosed by the other party in connection with this Agreement, including technical specifications, set lists, client lists, pricing, and proprietary performance materials, shall be held in confidence and shall not be disclosed to third parties except as required by law. This obligation shall survive termination of this Agreement for a period of two (2) years.

INSURANCE, TAXES, AND INDEPENDENT CONTRACTOR

Musician is an independent contractor and not an employee of Client. Musician is responsible for payment of all taxes arising from payments made under this Agreement. Client may require proof of liability insurance and, if so, shall be provided with certificates evidencing coverage prior to performance.

INDEMNIFICATION

Each party shall indemnify and hold harmless the other party from and against any claims, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, negligence, willful misconduct, or violation of applicable law.

FORCE MAJEURE

Neither party shall be liable for delay or failure to perform resulting from acts beyond the party's reasonable control, including but not limited to acts of God, government orders, pandemics, strikes, or severe weather. If a force majeure event prevents performance, the parties shall promptly confer to reschedule or otherwise mitigate losses.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any written rider or addendum signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements. Any amendment to this Agreement must be made in writing and signed by both parties.
