What a Name Approval Document Is and when it’s used

A Name Approval Document is a formal filing or internal record used to confirm that a proposed business, trade name, assumed name, or brand is acceptable under applicable rules before registration or public use. It typically captures the exact name string, the entity type, the jurisdiction for registration, and any disclaimers or conflicts discovered in a preliminary search. Agencies or registrars use the document to prevent name collisions and to document approval decisions; private organizations use it as internal evidence that a name is cleared for operational use.

Why preparing a clear Name Approval Document matters

A well drafted Name Approval Document reduces registration delays, documents due diligence, and helps avoid trademark or state filing rejection. It creates an auditable record of the chosen name and any conditions attached to approval, which protects stakeholders and supports downstream filings.

Why preparing a clear Name Approval Document matters

Who typically completes and relies on this document

The Name Approval Document is used by a range of parties involved in entity formation and brand management.

  • Corporate formation teams and founders completing state name reservation requests
  • In-house legal or trademark teams documenting clearance and conflict analysis
  • Registrars, Secretary of State staff, or franchise tax departments reviewing submissions

Each user group relies on the document for different purposes: formation filings, trademark risk mitigation, or administrative recordkeeping.

Signatory roles and authority

Authorized Signer — Corporate Officer

An executive or officer with board authorization signs on behalf of the entity. This signer must have authority to bind the organization for formation and public filing purposes and is usually listed in corporate records.

Agent or Registered Representative

A registered agent or outside counsel may sign or certify the name approval for filing. The agent’s signature should be supported by a power of attorney or engagement letter when required.

Core elements to include in a professional Name Approval Document

Include structured sections to make the approval immediately actionable by filing staff, legal counsel, and business operators.

Exact Name

The full name string as intended for registration, including punctuation and capitalization, to avoid ambiguity during filing and state review.

Entity Type

Specify whether the name applies to an LLC, corporation, DBA, nonprofit, trademark, or other entity class to ensure correct registration pathway.

Jurisdiction

State or federal jurisdiction where the name will be registered or used, since availability rules and conflicts vary by jurisdiction.

Search Results

Summary of searches performed (SoS database, trademark database) and any similar-name findings or objections identified.

Conditions

Any restrictions, disclaimers, or required modifications (e.g., add distinguishing words) attached to approval by counsel or registrar.

Approval Metadata

Approval date, approver name/title, reference number, and retention instructions to support later audits and filings.

Step-by-step: completing a Name Approval Document

Follow these sequential steps to prepare, verify, and finalize name approval with minimal delays.

  • 01
Prepare Draft: Assemble exact name, entity type, and jurisdiction for review.
  • 02
Run Searches: Check state business records and USPTO trademark databases for conflicts.
  • 03
Document Findings: Record search results and recommended modifications or disclaimers.
  • 04
Approve and Sign: Authorized signer signs, dates, and assigns a reference number for filing.

How to configure an online Name Approval workflow

Set up fields and routing so approvals move quickly from preparer to approver and then to filing.

Field Configuration
Document Template Use a PDF template with locked name and approval fields for consistency.
Signer Order Sequential signing: preparer → legal reviewer → authorized approver.
Authentication Use email plus SMS code or SSO for approver identity verification.
Retention Policy Apply a retention tag and export signed PDF to secure storage.

Where to send or file the completed Name Approval Document

Routing depends on whether the approval is internal or intended for a public filing authority.

  • Internal Records: Keep signed copy in corporate minute book or document management system.
  • Secretary of State: Include approval reference when submitting formation or DBA filing to the state SoS.
  • Trademark Office: Use search summary when filing USPTO trademark applications as supporting evidence.
  • Outside Counsel: Send finalized document to counsel for filing or further legal review as needed.

Delivery options and technical considerations

Decide whether to deliver the document by secure eSubmission, registered mail, or in-person filing based on agency requirements.

  • File Formats: PDF and DOCX are commonly accepted for recordkeeping.
  • Integrations: Supports Salesforce, Microsoft 365, NetSuite integrations for automated routing.
  • Authentication: Email, SMS code, or SSO-based signer verification reduces dispute risk.

Use a secure eSignature platform that preserves audit trails, stores completed PDFs, and integrates with your filing or DMS systems to maintain consistency and compliance.

Typical timelines and processing expectations

Expected timing varies by jurisdiction and whether you submit a name reservation versus a full formation filing.

Pre-filing Search:

Same-day to 3 business days depending on depth of search.

SoS Reservation Response:

Often 1–10 business days; some states offer expedited options.

Formation Filing Processing:

Standard processing 5–15 business days; expedited for additional fee.

Trademark Examination:

USPTO initial review typically 3–6 months.

Internal Approval SLAs:

Set 3–5 business days for legal review to avoid external delays.

Key approval milestones from request to effective name

Track these milestones to coordinate filings and downstream operational steps.

01

Request Submitted

Preparer uploads draft and search summary for review.

02

Legal Clearance

Counsel or reviewer confirms availability and recommends edits.

03

Approver Sign-off

Authorized signer executes Name Approval Document and dates it.

04

File or Reserve Name

Submit to SoS or file trademark application as appropriate.

Common mistakes that delay approval

  • Using a draft name that differs from the filing name by punctuation or spacing, which can trigger rejection or confusion during processing.
  • Failing to indicate jurisdiction or entity type clearly, causing filing staff to route the submission incorrectly and delay review.
  • Omitting search dates or scope, which prevents later reviewers from confirming whether the search was timely and complete for risk assessment.
  • Relying on a single quick lookup instead of conducting both SoS database and USPTO searches, which increases the chance of overlooked conflicts.

Consequences of incomplete or incorrect approvals

Filing Rejection: Requires refiling with added fees.
Trademark Dispute: Risk of challenge and corrective costs.
Operational Delay: Launch or contracting timelines may slip.
Financial Costs: Extra agency and attorney expenses.
Record Uncertainty: Lack of auditable trail for later disputes.
Regulatory Noncompliance: Possible fines or administrative action.

Essential information to secure and retain

Exact Name: Preserve the approved string
Approver: Name and title retained
Search Records: Store copies and dates
Supporting Files: Keep search reports and correspondence
File Reference: Registrar number or internal ID
Retention Tag: Apply legal retention policy
