This Amendment shall be effective as of the Effective Date specified above and shall continue in effect for the duration of the Original Agreement unless otherwise terminated in accordance with this Amendment or the Original Agreement.

Either Party may terminate this Amendment in the event the other Party materially breaches the Original Agreement or this Amendment and fails to cure such breach within days after written notice.

Confidentiality

The Parties acknowledge that certain information exchanged in connection with the Original Agreement and this Amendment may be confidential. Each Party shall maintain in confidence all nonpublic business information, including but not limited to customer lists, pricing, trade secrets, and internal operations, disclosed by the other Party, and shall not disclose such information to third parties except as required by law or with prior written consent.

Representations and Warranties

Each Party represents and warrants that it has the full power and authority to enter into this Amendment and that the execution and delivery of this Amendment and the performance of its obligations hereunder have been duly authorized by all necessary corporate or organizational action.

Governing Law

This Amendment shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Entire Agreement

This Amendment, together with the Original Agreement, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, relating thereto, except as expressly preserved herein.

Miscellaneous Provisions

Except as expressly modified by this Amendment, all terms and conditions of the Original Agreement shall remain unchanged and in full force and effect. Any capitalized terms used but not defined in this Amendment shall have the meanings given to them in the Original Agreement.
