NAMING RIGHTS AGREEMENT

This Naming Rights Agreement (the Agreement) is entered into as of by and between:

RECITALS

WHEREAS, Owner is the owner or authorized manager of the facility described above and has the authority to grant naming rights for the facility and related assets; and

WHEREAS, Sponsor desires to obtain the exclusive right to name or have its designation applied to the facility or specified components thereof in consideration of payments and other obligations described herein; and

WHEREAS, Owner and Sponsor wish to set forth the terms and conditions under which the naming rights shall be granted, including scope, payment, approval of materials, and duration.

SCOPE OF WORK

Sponsor shall have the rights, subject to the conditions and approvals set forth herein, to name the facility or designated components as set forth below. Owner shall perform or permit the following items in connection with the naming rights:

PAYMENT TERMS

In consideration for the rights granted under this Agreement, Sponsor agrees to pay Owner the amounts and according to the schedule set forth below. All sums are payable in United States dollars unless otherwise stated.

All payments not paid when due shall accrue interest and/or late fees as specified above, and Sponsor shall be responsible for any reasonable costs of collection, including attorneys' fees.

TERM AND TERMINATION

The term of this Agreement shall commence on and shall expire on unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach if such breach remains uncured for thirty (30) days following written notice from the non-breaching party, provided that payment obligations accrued prior to termination survive. Owner may terminate immediately for Sponsor insolvency, bankruptcy, or any conduct that, in Owner’s reasonable judgment, materially injures Owner’s reputation or the facility.

CONFIDENTIALITY

Except as required by law, the parties agree to keep confidential the financial terms of this Agreement and any proprietary business information disclosed in connection with performance hereunder. Confidential information shall not include information that is or becomes publicly available through no fault of the receiving party, or information lawfully received from a third party without restriction.

SIGNAGE, MARKS AND APPROVALS

Sponsor grants Owner a limited, nonexclusive license to use Sponsor’s names, trademarks and logos solely for the purposes set forth in this Agreement and for the term hereof. All proposed signage, artwork, and other materials shall be submitted to Owner for written approval prior to fabrication or installation. Owner’s approval shall not be unreasonably withheld but shall be final as to placement, dimensions, materials, and color schemes.

INSURANCE AND INDEMNITY

Sponsor shall indemnify, defend and hold harmless Owner and its officers, directors and employees from and against all claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of Sponsor’s use of the facility name, Sponsor’s negligent acts or omissions, or any breach of this Agreement by Sponsor.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by certified mail, nationally recognized overnight courier, or personal delivery, and shall be effective upon receipt.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction set forth below, without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including all exhibits and written amendments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and understandings, whether written or oral. No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is declared invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Owner may assign to an affiliate or successor in interest in connection with a sale or transfer of the facility.

What a Naming Rights Agreement Template Covers

A Naming Rights Agreement Template is a standardized contract used to document the grant of naming rights for physical assets, venues, programs, or digital properties. It defines parties, term length, payments or sponsorship consideration, permitted uses of the name and marks, installation and maintenance obligations, signage and branding specifications, performance or exclusivity covenants, and termination triggers. The template streamlines negotiation by providing consistent clauses for intellectual property assignment or license, advertising and promotional rights, indemnities, insurance requirements, and dispute resolution, while leaving blanks for project-specific dates, amounts, and exhibits.

Why a Clear Template Matters for Naming Rights

Using a structured Naming Rights Agreement Template reduces ambiguity about deliverables, payment schedules, and branding controls, which lowers dispute risk and speeds approvals. It creates a repeatable legal framework for recurring sponsorships and helps finance, legal, and facilities teams align expectations.

Why a Clear Template Matters for Naming Rights

Common users and stakeholders

Organizations and individuals involved in sponsorship deals rely on a naming rights template to allocate responsibilities and document compensation.

  • Venue owners and operators managing sponsorship income and branding obligations.
  • Corporate sponsors establishing payment schedules, publicity rights, and exclusivity terms.
  • Legal counsel drafting enforceable IP assignment, indemnity, and termination clauses.

The template serves finance, legal, operations, and marketing teams — each uses specific sections for approvals, implementation, and compliance tracking.

Roles who typically sign or approve

Sponsor CFO

Chief financial officers or authorized finance officers review payment schedules, escrow arrangements, and tax treatment. They ensure the sponsor can meet milestone payments and confirm internal budget approvals before signing.

Venue Executive

Venue or asset executives (CEO/COO) approve operational commitments, installation responsibilities, and exclusivity obligations. They confirm that the agreement aligns with venue policy and long-term asset planning.

Core elements to include in a professional template

A robust Naming Rights Agreement Template groups essential terms so negotiators can focus on commercial specifics rather than drafting boilerplate language.

Parties

Clearly identify legal entities, including d/b/a names and authorized signatories, and state whether a sponsor is acting individually or through affiliates.

Term & Renewal

Define start and end dates, renewal options, notice windows, and any performance conditions that affect renewal rights.

Consideration

Specify monetary amounts, payment schedule, escrow or installment terms, and remedies for late or missed payments.

Branding Rights

Detail permitted uses of the name and marks, signage locations and specifications, and approval processes for creative materials.

IP & Licenses

State whether trademark assignment or license is granted, scope limits, sublicensing, and quality-control approval mechanisms.

Termination & Remedies

List termination events, cure periods, post-termination branding removal obligations, and dispute resolution (mediation/arbitration/venue).

Step-by-step: filling and finalizing the agreement

Follow these sequential steps to complete the template, obtain approvals, and execute a binding naming rights agreement.

  • 01
Prepare Draft: Complete blanks and attach exhibits.
  • 02
Internal Review: Legal and finance review key clauses.
  • 03
Negotiate Terms: Exchange markups and confirm modifications.
  • 04
Execute: Collect authorized signatures and dates.

Technical options for eSigning and delivery

Choose an eSignature platform that supports the authentication and recordkeeping your deal requires.

  • PDF Support: PDF and DOCX input supported.
  • Integrations: Connects to CRM and cloud storage.
  • Authentication: Email, SMS, or advanced ID methods.

Confirm the platform can produce an audit trail, store signed PDFs securely, and meet any industry compliance (for example HIPAA or 21 CFR Part 11) required by the parties.

Typical electronic execution workflow

This common sequence ensures the agreement is routed, authenticated, and captured with a compliance-grade audit trail.

  • Upload Document: Add the template to the eSign platform.
  • Place Fields: Insert signature, date, and text fields.
  • Assign Signers: Enter signer emails and order.
  • Send & Capture: Platform records timestamps and IP.

Key deadlines and notice periods to include

Insert explicit dates and notice periods for performance, installation, renewals, and termination to avoid disputes.

Payment Milestones:

Specify exact due dates or milestone triggers for each installment

Signage Installation:

Set installation completion date and inspection window

Renewal Notice:

Require written notice 90–180 days before term end

Breach Cure Period:

Allow a specified cure period, commonly 30 days

Termination Notice:

Require written notice and state effective termination date

Consequences and legal risks to watch for

Breach Liability: Damages and specific performance exposure
Trademark Risk: Potential infringement or dilution claims
Tax Exposure: Misreported income or missing W-9 triggers withholding
Reputational Harm: Negative association damages public perception
Removal Costs: Expense to dismantle signage on early termination
Notarization Errors: Improper acknowledgements can delay enforcement

Common drafting mistakes to avoid

  • Using vague branding language that fails to specify permitted media, dimensions, or usage windows often leads to later disputes and inconsistent sponsor expectations.
  • Failing to define indemnity and insurance limits clearly leaves venue owners exposed to third-party claims arising from sponsor-promoted activities.
  • Omitting timelines for signage installation, inspection and remedial action can cause operational delays and missed activation dates for marketing campaigns.
  • Not addressing IP rights precisely — license vs assignment, sublicensing, and duration — may create uncertainty over post-termination use of the name.
