NAPHTHTA DECLINE FORM

This Naphthta Decline Form (the "Agreement") is made and entered into as of by and between:

WHEREAS

WHEREAS, Party A extended an offer or proposal to Party B concerning certain services, materials, or commercial arrangements described in this Agreement (the "Offer"); and

WHEREAS, Party B has elected to formally decline the Offer pursuant to the terms and procedures set forth herein, and the parties desire to document rights, obligations, and any residual payment or release obligations resulting from the decline; and

WHEREAS, the parties intend that this Agreement governs any post-decline obligations, confidentiality, and dispute resolution related to the Offer and the declination process.

SCOPE OF WORK / EFFECT OF DECLINE

The parties acknowledge and agree that Party B's formal decline shall have the following immediate effects: (a) Party A shall cease any further performance under the Offer except as expressly provided in this Agreement; (b) the parties shall comply with any partial-performance or wind-down obligations expressly set forth below; and (c) any residual payment, reimbursement, or release obligation is governed by the Payment Terms section.

PAYMENT TERMS

In consideration of any partial performance, administrative costs, or agreed transition activities associated with the decline, Party B agrees to pay Party A the sum of (the "Settlement Amount"), subject to the schedule and adjustments below.

Late payment shall incur a late fee equal to on the unpaid balance, compounded monthly, plus any reasonable collection costs, including attorney fees, to the extent permitted by law.

TERM AND TERMINATION

This Agreement commences on the Effective Date and shall continue in full force and effect until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach if the breaching party fails to cure within days after written notice. Termination shall not relieve either party of obligations accrued prior to the effective date of termination, including payment obligations.

CONFIDENTIALITY

Each party shall retain in confidence all non-public information disclosed by the other party in connection with the Offer and this Agreement ("Confidential Information"). Confidential Information shall not include information that is (a) already known to the receiving party without restriction, (b) publicly available other than by breach of this Agreement, or (c) rightfully obtained from a third party without restriction. The receiving party agrees to use Confidential Information solely to effectuate the limited purposes set forth in this Agreement and not to disclose it to any third party except as necessary to perform its obligations or as required by law, provided the disclosing party receives prompt notice when legally permissible.

NOTICES

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles. The parties consent to the exclusive jurisdiction of state and federal courts located in that state for any dispute arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior oral and written agreements, proposals, understandings, and communications with respect to the Offer and decline. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless made in writing and signed by authorized representatives of both parties.

ACKNOWLEDGMENT AND RELEASE

By executing below, Party B confirms its voluntary decision to decline the Offer, acknowledges that it has had the opportunity to review the Offer and this Agreement with counsel, and releases Party A from further obligations arising solely from the Offer except as expressly set forth herein. Party A acknowledges receipt of any payments made pursuant to this Agreement and releases Party B from future claims related to the Offer to the extent such claims arise from matters addressed by the Settlement Amount and other express terms of this Agreement.
