NATIONAL CHAPTER MEMBERSHIP AGREEMENT

This National Chapter Membership Agreement (the "Agreement") is made effective as of by and between:

RECITALS

WHEREAS, the National Organization maintains a centralized membership program, standards, and trademarks and permits qualified local entities to operate as affiliated chapters in accordance with national policies and guidelines; and

WHEREAS, the Chapter desires to obtain membership and chapter designation from the National Organization and to perform the activities described in this Agreement under the National Organization's auspices, subject to the terms and conditions set forth herein; and

WHEREAS, the parties desire to define the scope of the relationship, the rights and obligations of each party, and the terms under which the Chapter will operate as an affiliated national chapter.

SCOPE OF ACTIVITIES

The Chapter shall undertake activities consistent with the National Organization's mission and policies. The Chapter's principal services and responsibilities are described below and shall form the basis of the Chapter's membership obligations.

MEMBERSHIP OBLIGATIONS

The Chapter shall (a) comply with the National Organization's governing documents and policies as provided to the Chapter; (b) maintain accurate membership records and timely reports to the National Organization; (c) use National Organization marks and materials only as expressly licensed in writing and in accordance with branding guidelines; and (d) carry any insurance or licenses required by applicable law. The Chapter will appoint a designated representative for communication with the National Organization:

PAYMENT TERMS

As consideration for membership and associated services, the Chapter shall pay dues and fees to the National Organization as follows.

All amounts are payable in United States dollars unless otherwise agreed in writing. The Chapter shall be responsible for any taxes or assessments applicable to its payments unless a valid exemption is provided in writing.

TERM AND TERMINATION

Term: This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Termination for Cause: Either party may terminate this Agreement immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Effect of Termination: Upon termination, the Chapter shall cease use of National Organization marks and return or destroy confidential materials as instructed. Termination shall not relieve either party of obligations incurred prior to the effective date of termination.

CONFIDENTIALITY

Each party (the "Receiving Party") shall protect confidential and proprietary information disclosed by the other party (the "Disclosing Party") and shall not use such information except to perform obligations under this Agreement. Confidential information excludes information that (a) is or becomes public other than through the Receiving Party's breach; (b) was rightfully known by the Receiving Party prior to disclosure; (c) is independently developed without the use of the Disclosing Party's confidential information; or (d) is rightfully received from a third party not subject to confidentiality obligations. The Receiving Party may disclose confidential information as required by law, provided it gives prompt written notice to the Disclosing Party to permit the Disclosing Party to seek protective relief.

Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years, except with respect to trade secrets, which shall remain protected for as long as they qualify as trade secrets under applicable law.

INTELLECTUAL PROPERTY; USE OF MARKS

The National Organization retains all right, title and interest in its trademarks, service marks, trade names, logos and other intellectual property. The Chapter is granted a limited, non-exclusive, non-transferable license to use such marks solely in connection with the Chapter's activities under this Agreement and in accordance with branding guidelines provided by the National Organization. All materials produced by the Chapter that incorporate National Organization marks or materials must be approved in writing when such approval is required by National Organization policy.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against any losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising from the indemnifying party's breach of this Agreement, willful misconduct or negligent acts.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties shall first attempt in good faith to resolve any dispute arising under this Agreement by negotiation between their respective authorized representatives. If the parties cannot resolve the dispute within thirty (30) days, the parties may pursue any remedy available under applicable law.

ENTIRE AGREEMENT; AMENDMENTS; SEVERABILITY

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations. Any amendment or modification to this Agreement must be made in a written instrument signed by authorized representatives of both parties. If any provision of this Agreement is determined to be invalid or unenforceable, such provision shall be severed and the remaining provisions shall remain in full force and effect.

NOTICES

All notices required or permitted under this Agreement shall be in writing and sent to the addresses set forth above or to such other address as either party designates in writing. Notices shall be effective upon receipt.
