NATURAL GAS SUPPLY AGREEMENT

This Natural Gas Supply Agreement (the Agreement) is entered into as of by and between Supplier Name: and Buyer Name: .

WHEREAS

WHEREAS, Supplier is engaged in the business of procuring and supplying natural gas and possesses capacity, supply arrangements and expertise to deliver natural gas at the Delivery Point described herein; and

WHEREAS, Buyer desires to purchase from Supplier, and Supplier desires to sell to Buyer, a specified quantity of natural gas on the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below, the parties agree as follows.

Supplier shall supply and deliver, and Buyer shall accept and pay for, natural gas at the Delivery Point subject to the terms of this Agreement. Delivery obligations, metering, quality specifications and procedures for imbalances are as set forth below and in the attached operational annexes (if any).

Late Payment: Amounts not paid when due shall accrue interest at the rate of or the maximum lawful rate, and Buyer shall be responsible for reasonable collection costs including attorneys' fees.

INVOICING, TAXES AND ADJUSTMENTS

Supplier shall render invoices in accordance with the Billing Cycle. Invoices shall itemize quantities, Contract Price, adjustments, taxes and other charges. Buyer shall pay undisputed portions of any invoice in accordance with the Payment Due provision. Any disputed amounts shall be raised in writing within ten (10) business days of receipt with supporting documentation.

Taxes: All applicable taxes, fees, or charges imposed by governmental authorities on the sale or delivery of gas shall be paid by unless otherwise required by law.

Upon termination for any reason, Buyer shall pay Supplier for all delivered quantities and any unpaid charges and Supplier shall reimburse Buyer for any prepaid amounts allocable to periods after termination, less any amounts owed for breach or other contractual offsets.

CONFIDENTIALITY

Each party shall keep confidential and not disclose to any third party non-public business, technical, pricing or operational information received from the other party in connection with this Agreement, except to the extent disclosure is required by law or necessary to perform obligations under this Agreement. Confidential information shall be used solely for the purposes of performing under this Agreement. The obligations in this clause shall survive termination for a period of three (3) years.

FORCE MAJEURE

Neither party shall be liable for failure or delay in performance to the extent caused by circumstances beyond its reasonable control including acts of God, strikes, regulatory actions, war, terrorism, pipeline outages or curtailments, or third-party transportation interruptions. The affected party shall promptly notify the other and use commercially reasonable efforts to mitigate the effect of such event.

LIMITATION OF LIABILITY AND INDEMNITY

Except for willful misconduct or gross negligence, neither party shall be liable for incidental, consequential, special or punitive damages arising out of this Agreement. Each party shall indemnify the other for third-party claims arising from its negligent acts or breaches of its representations and warranties.

ASSIGNMENT

Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, which consent shall not be unreasonably withheld, except that either party may assign to an affiliate or in connection with a merger, sale of substantially all assets, or financing.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles.

DISPUTE RESOLUTION

The parties shall attempt in good faith to resolve disputes arising under this Agreement by negotiation between senior representatives. If unresolved within 30 days, disputes shall be resolved by binding arbitration in the governing law state, unless the parties mutually agree to litigation.

ENTIRE AGREEMENT

This Agreement, together with any schedules or annexes expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. Any amendment or waiver must be in writing and signed by both parties.

NOTICES

All notices required or permitted hereunder shall be in writing and delivered to the notice addresses provided above or to such other address as a party designates by written notice. Notices are effective upon receipt.

REPRESENTATIONS AND WARRANTIES

Each party represents that it has full corporate power and authority to enter into this Agreement, the execution and delivery of this Agreement has been duly authorized, and the Agreement is a binding obligation enforceable against the party in accordance with its terms.

MISCELLANEOUS
