NELP Renewal Document

Parties

Recitals

WHEREAS, Party A and Party B entered into a NELP Agreement identified as Agreement ID: dated (the "Original Agreement"); and

WHEREAS, the parties desire to renew and extend the Original Agreement on the terms and conditions set forth in this Renewal Document; and

WHEREAS, the parties acknowledge that all capitalized terms not otherwise defined herein shall have the meanings set forth in the Original Agreement, unless expressly modified below.

Renewal Effective Date and Term

The parties agree that the Original Agreement is hereby renewed and extended effective as of (the "Renewal Effective Date"). The renewed term shall commence on the Renewal Effective Date and shall continue until unless earlier terminated in accordance with the provisions below.

Scope of Work

The scope of services, deliverables and responsibilities to be performed by Party A for Party B during the renewal term are set forth below. Any modification to the scope must be documented in a signed written amendment.

Payment Terms

In consideration for the services described in the Scope of Work, Party B shall pay Party A the fees and on the schedule set forth below. All fees are payable in United States Dollars unless otherwise specified in writing.

All invoices are due within days of receipt. If any undisputed amount remains unpaid past the due date, Party A may suspend performance after providing written notice and a reasonable cure period.

Term and Termination

Either party may terminate this Renewal Document for convenience upon providing written notice to the other party at least days prior to the intended termination date. Either party may terminate for material breach if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach.

Upon termination, Party B shall pay Party A for all services performed and expenses properly incurred through the effective date of termination, subject to any setoffs or credits agreed in writing.

Confidentiality

Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party any non-public information disclosed by the other party (the "Disclosing Party") that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). The Receiving Party shall use Confidential Information solely for the purposes of performing its obligations under this Renewal Document and shall protect such Confidential Information using the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

Confidential Information does not include information that: (a) is or becomes generally available to the public other than as a result of a breach of this obligation; (b) was in the Receiving Party's possession prior to receipt from the Disclosing Party; (c) is received by the Receiving Party from a third party who did not acquire or disclose such information by a wrongful or tortious act; or (d) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information. If the Receiving Party is compelled by law to disclose Confidential Information, it shall provide the Disclosing Party prompt written notice and cooperate with any reasonable effort by the Disclosing Party to seek confidential treatment or a protective order.

Governing Law

This Renewal Document and any dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles.

Entire Agreement; Amendment

This Renewal Document, together with the Original Agreement and any exhibits or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment, waiver or modification of any provision of this Renewal Document shall be effective unless in a written instrument signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Renewal Document is held invalid or unenforceable, the remaining provisions will remain in full force and effect. The parties are independent contractors and nothing in this Renewal Document creates a partnership, joint venture, agency or employment relationship.
