NETWORK EQUIPMENT USAGE AGREEMENT

Recitals

WHEREAS, Owner possesses network equipment and related hardware, firmware and accessories (collectively, the "Equipment") described in the equipment inventory below and is willing to permit User to operate, maintain and use the Equipment subject to the terms and conditions of this Agreement; and

WHEREAS, User desires to use the Equipment for business operations expressly authorized by Owner and to accept responsibility for care, authorized use, and return of the Equipment in accordance with this Agreement; and

WHEREAS, the parties intend by this Agreement to set forth the scope of permitted use, payment obligations, confidentiality protections, allocation of risk and the procedures for return or replacement of the Equipment.

List each item of Equipment, quantity, model and serial number. Attach additional sheet if necessary.

Scope of Work & Authorized Use

Owner grants User a non-exclusive, non-transferable right to operate the Equipment solely for the purposes and in the locations described below. User must comply with Owner's reasonable operational and security policies and shall not alter, relocate, or install unauthorized software or hardware on the Equipment without prior written consent of Owner.

Payment Terms

User shall pay Owner compensation for use of the Equipment as set forth below. All amounts are due in U.S. Dollars and are exclusive of taxes for which User is responsible unless Owner is required by law to collect such taxes.

Term and Termination

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach if the breach remains uncured for the notice period above. Upon termination, User shall promptly cease use of the Equipment and follow the Owner's return and data sanitization procedures below.

Maintenance, Inspection & Return

User shall maintain the Equipment in good working order, permit Owner or its designee to inspect the Equipment upon reasonable notice, and promptly notify Owner of any damage, loss, or malfunction.

Confidentiality

"Confidential Information" includes technical and business information relating to the Equipment, configurations, firmware, network maps, access credentials and other non-public information disclosed by one party to the other. Receiving party shall: (a) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care; (b) use Confidential Information only to perform obligations under this Agreement; and (c) not disclose Confidential Information to any third party except permitted contractors who have agreed in writing to confidentiality obligations no less protective than those herein.

Confidentiality obligations do not apply to information that: (i) is or becomes publicly known through no breach by the receiving party; (ii) was rightfully in the receiving party's possession prior to disclosure; or (iii) is independently developed by the receiving party.

Insurance & Indemnity

User shall maintain insurance covering physical loss or damage to the Equipment and commercial general liability insurance in sufficient amounts to cover claims arising out of User's use of the Equipment. Minimum coverage: .

User shall indemnify, defend and hold harmless Owner from and against any third-party claim arising out of User's negligent or willful use of the Equipment, except to the extent such claims arise from Owner's gross negligence or willful misconduct.

Compliance and Security

User shall comply with applicable laws, regulation and industry standards when operating the Equipment. User shall not use the Equipment to engage in prohibited activities including but not limited to unauthorized network scanning, outbound spam, distribution of malware, or any activity that would materially harm Owner's network or reputation.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties shall attempt in good faith to resolve disputes by negotiation prior to pursuing any other remedy.

Entire Agreement; Amendments

This Agreement, together with the Equipment Inventory and any attachments executed by the parties, constitutes the entire understanding between the parties with respect to its subject matter and supersedes all prior agreements and understandings. Any amendment or modification must be in a written instrument signed by authorized representatives of both parties.

Miscellaneous Provisions

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except that Owner may assign to an affiliate or to a successor in interest in connection with a sale of substantially all of Owner's assets.
