What a Network Infrastructure Agreement Covers

A Network Infrastructure Agreement defines the legal and technical terms for delivering, installing, operating, and maintaining network assets and services between a provider and a client. Typical coverage includes scope of work, equipment inventory, configuration baselines, service levels, security controls, acceptance testing, warranties, change management, payment terms, and termination provisions. Exhibits often attach network diagrams, IP addressing plans, cabling schedules, and acceptance test plans. When projects touch regulated data, include data-handling and audit obligations to align with applicable laws such as HIPAA and tax recordkeeping requirements.

Why a Formal Agreement Matters for Network Projects

A clear Network Infrastructure Agreement assigns responsibility, sets measurable SLAs, and reduces operational and compliance risk. It provides defined remedies for failures, preserves IP and confidentiality rights, and documents procedures for transition, backups, and incident response to support dispute resolution and regulatory audits.

Why a Formal Agreement Matters for Network Projects

Who Typically Prepares and Signs This Agreement

Common users include IT service providers, enterprise operations teams, and external contractors responsible for network delivery and maintenance.

  • IT service providers: Draft, supply equipment, and accept responsibility for installation and warranty management.
  • Enterprise IT teams: Define requirements, verify SLA metrics, and coordinate internal change management processes.
  • Facilities and operations: Provide physical access, power, environmental controls, and logistical support for deployments.

Smaller organizations may use simplified forms, while regulated industries should include explicit privacy, audit, and incident-response clauses.

Core Sections to Include in a Professional Agreement

A complete Network Infrastructure Agreement groups obligations into clear sections: scope, deliverables, service levels, security, acceptance testing, and ongoing maintenance with assigned roles and responsibilities.

Scope

Define physical and logical boundaries, listed sites, equipment inventories, configuration baselines, project milestones, and any excluded work. Attach network diagrams and asset lists as exhibits for clarity and acceptance testing.

Deliverables

List hardware, software, documentation, firmware versions, staging procedures, delivery dates, and install checklists. Include handover items such as as-built drawings, rack elevations, serial-numbered inventories, and software licensing documentation.

Service Levels

Specify uptime targets, mean time to repair (MTTR), response and resolution windows, measurement methods, reporting cadence, service credits, and escalation paths for incidents affecting network availability.

Security

Detail baseline controls, encryption requirements, patching cadence, vulnerability scanning, access control, change approval, network segmentation, logging retention, and incident-response obligations consistent with HIPAA or other applicable standards.

Acceptance

Define test plans, bench and site acceptance criteria, performance metrics, acceptance windows, remediation steps for failures, and final sign-off procedures to confirm successful deployment.

Maintenance

Describe preventive maintenance schedules, firmware upgrades, remote monitoring, spare parts provisioning, SLA renewals, software support levels, and responsibilities for emergency maintenance and change windows.

Step-by-Step: From Draft to Final Execution

Follow these steps to complete and execute a Network Infrastructure Agreement, from drafting to final signature and post-deployment handover.

  • 01
Draft: Assemble scope, diagrams, and inventories for initial draft.
  • 02
Review: Internal legal and IT review for security and SLA alignment.
  • 03
Sign: Execute via compliant eSignature or notarization as required.
  • 04
Handover: Deliver as-built documentation, run acceptance tests, and close project.

How to Configure an Online Signing Workflow

Configure online workflows to route, authenticate, and archive the Network Infrastructure Agreement using eSignature and document management settings.

Field Configuration
Signer Order Set sign sequence to match role-based approval workflows.
Authentication Email link by default; use SMS or KBA for higher assurance.
Templates Save standard clauses and exhibits as reusable templates for projects.
Storage Archive signed files in PDF/A in secure cloud storage with retention policies.

Platform Requirements for eSubmission and Archival

Ensure the platform supports required file types, signer authentication, audit trails, and secure storage before eSubmission.

  • File Formats: PDF, DOCX, or image accepted.
  • Authentication: Email, SMS, or SSO available.
  • Integrations: Connectors for CRM and storage.

Where Completed Agreements Are Routed and Filed

These destinations and routing options show where to send completed agreements and how delivery and filing typically proceed.

  • Client Repository: Client's document management system for operational records.
  • Vendor Archive: Vendor stores as-built files and support documentation.
  • Legal Counsel: Send final executed copy to legal for contract file.
  • Regulatory Filing: Submit copies to compliance teams for regulated environments.

Network Agreement vs Master Services Agreement: Key Differences

Quick comparison between a site-focused Network Infrastructure Agreement and a broader Master Services Agreement to clarify scope, SLA focus, and billing approaches.

Criteria Network Agreement Master Services Agreement
Primary Focus technical implementation broad commercial services
SLA Detail device-level and specific aggregate, service-level
Billing milestone or hardware billing recurring or t&m
Use Case deployments and upgrades managed services and outsourcing

Common Mistakes to Avoid

  • Vague scope statements that omit site lists or excluded tasks, leading to scope creep and disputes over which party must perform specific cabling or configuration work.
  • Missing acceptance criteria or weak test plans that allow deployments to be signed off without verifying performance, security, or interoperability with existing systems.
  • Incomplete inventories that lack serial numbers or firmware versions, complicating warranty claims, spare part provisioning, and post-deployment troubleshooting.
  • Unclear escalation and maintenance windows that cause delayed incident response and unexpected downtime during business hours or critical operations.
