NETWORKING MEET AND GREET AGREEMENT

RECITALS

WHEREAS, Organizer is hosting a networking meet and greet event to facilitate professional introductions, business development, and relationship-building (the "Event"); and

WHEREAS, Service Provider has represented that it is qualified and able to provide coordination, onsite management, and related services necessary for the successful conduct of the Event; and

WHEREAS, the parties desire to set forth the terms and conditions under which Service Provider will perform services for Organizer.

SCOPE OF WORK

Service Provider shall perform the tasks described below and any additional services agreed in writing by the parties. Service Provider shall provide competent personnel, supplies and all necessary coordination for the Event.

PAYMENT TERMS

Organizer shall pay Service Provider the compensation set forth below in consideration for the services described in this Agreement.

Late Payment: Organizer agrees that any payment not received within days of its due date shall incur a late fee of on the outstanding balance until paid in full.

TERM AND TERMINATION

This Agreement commences on the Start Date set forth below and continues until the completion of obligations following the Event unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience by providing written notice to the other party at least days prior to the intended termination date. Termination for cause may occur immediately upon written notice where the other party materially breaches and fails to cure within 10 days after receipt of notice.

CONFIDENTIALITY

Each party acknowledges that in performing under this Agreement it may receive confidential or proprietary information of the other party. Except as required by law or as necessary to perform the services contemplated herein, neither party shall disclose such information to third parties or use it for any purpose other than the performance of this Agreement. Confidential information does not include information that: (a) is or becomes publicly available through no wrongful act of the receiving party; (b) was already lawfully in the receiving party's possession prior to disclosure; or (c) is independently developed without use of the other party's confidential information.

INSURANCE AND LIABILITY

Service Provider shall maintain commercial general liability insurance with limits reasonably acceptable to Organizer and provide proof of insurance upon request. Service Provider shall indemnify, defend and hold Organizer harmless from any claims arising from Service Provider's negligent acts or omissions, except to the extent caused by Organizer's gross negligence or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any attachments and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any modification to this Agreement must be in writing and signed by an authorized representative of each party.

MISCELLANEOUS

Notices required or permitted by this Agreement must be in writing and delivered to the addresses set forth above. If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.
