Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to the intended termination date. Termination for material breach shall be permitted following written notice and a 14-day opportunity to cure unless otherwise specified in writing.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential. Each party agrees to hold Confidential Information in strict confidence, to use it solely to perform its obligations under this Agreement, and not to disclose it to any third party except as required by law or to personnel who have a need to know and are bound by confidentiality obligations no less protective than those herein.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. Any dispute arising under this Agreement shall be resolved in the competent courts of that State unless the parties agree otherwise in writing.

ENTIRE AGREEMENT

This Agreement, together with any attachments or addenda executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment will be effective unless in writing and signed by authorized representatives of both parties.
