What a Networking SDWAN Agreement Covers

A Networking SDWAN Agreement is a written contract that defines the supply, installation, operation, and support of a software-defined wide area network (SD-WAN) for an organization. It identifies the parties, the scope of connectivity and managed services, service locations, performance and availability targets, security and compliance obligations, pricing and billing terms, change-order procedures, and transition or termination provisions. Attachments commonly include service-level schedules (SLAs), network diagrams, accepted traffic classes, maintenance windows, and contact procedures for incident escalation.

Why a Clear SDWAN Agreement Matters

A well-drafted Networking SDWAN Agreement reduces operational ambiguity, aligns expectations on uptime and performance, and assigns responsibility for security, monitoring, and remediation. It also creates contractual remedies for outages and a defined process for change orders and cost adjustments.

Why a Clear SDWAN Agreement Matters

Who Typically Prepares and Signs an SDWAN Agreement

The agreement is used by internal IT and procurement teams, managed service providers, and third-party network integrators to document network services and obligations.

  • IT leadership and network engineers who define technical requirements and confirm service acceptance criteria.
  • Procurement or legal teams who negotiate commercial terms, liability, and contract language.
  • Managed service providers or system integrators who deliver SD-WAN hardware, software, and ongoing operations.

Involvement typically spans technical, commercial, and security stakeholders to ensure service expectations, compliance needs, and billing terms are properly captured.

Core Sections to Include in the Agreement

A professional Networking SDWAN Agreement organizes obligations into clear sections so that deliverables, metrics, and remedies are unambiguous and auditable.

Parties & Recitals

Identify each contracting entity, legal status, contact points, and the business purpose for the SD-WAN deployment so contractual obligations attach to the correct legal entity.

Scope of Services

Define services delivered (hardware, software, configuration, monitoring, NOC support), accepted bandwidth, port counts, and any geographic or site-specific exclusions.

Service Levels

Specify uptime percentages, latency/jitter thresholds per traffic class, measurement windows, reporting cadence, and credit calculations for outages or degraded performance.

Security & Compliance

Document encryption requirements, access controls, logging, data handling, breach notification timelines, and any industry-specific addenda such as a HIPAA BAA.

Pricing & Billing

List one-time charges, recurring fees, usage billing methodology, invoicing terms, payment timelines, and change-order pricing for scope changes.

Termination & Transition

Define notice periods, termination for cause or convenience, transition assistance, data return or deletion obligations, and post-termination liabilities.

Key Security and Compliance Elements

Encryption in Transit: TLS 1.2/1.3
Encryption at Rest: AES-256
Access Controls: Role-based access
HIPAA BAA: If PHI present
Audit Trail: Change logs retained
Incident Response: Defined SLA timelines

Step-by-Step: Completing the Agreement

Follow these sequential steps to prepare, review, and execute the Networking SDWAN Agreement with minimal rework.

  • 01
Collect requirements: Document sites, throughput, and security needs.
  • 02
Draft scope: Populate service descriptions and SLAs.
  • 03
Legal and finance review: Confirm liability and billing terms.
  • 04
Execute signatures: Obtain authorized signatures and dates.

How Execution and Delivery Typically Flow

Execution and delivery of network services usually follow a predictable order from order intake to live service and periodic reviews.

  • Order placement: Customer signs and returns the agreement.
  • Onboarding: Provider schedules site configuration and installation.
  • Acceptance testing: Run tests against SLA metrics.
  • Ongoing support: NOC monitors and responds per SLA.

Digital Workflow Configuration for eSigning and Approvals

Configure an electronic signature workflow to enforce signing order, authentication, and archival of the executed agreement.

Field Configuration
Signer ordering Sequential or parallel routing
Authentication Email + SMS or stronger KBA
Notifications Email reminders and overdue alerts
Attachments Include network diagrams and SLAs

Technical and Integration Considerations for eExecution

Select a signing platform that supports secure workflows, audit trails, and the integrations you need to link agreements to procurement or CRM systems.

  • Integrations: Salesforce, NetSuite, Microsoft 365
  • File formats: PDF, DOCX supported
  • Authentication: SSO and multi-factor

Ensure the chosen platform can provide tamper-evident signed copies, long-term retention, and any required compliance addenda (for example, a HIPAA BAA when protected health information is in scope).

Common Timeline Elements and Notice Periods

Track key dates inside the agreement to manage implementation, billing, SLA measurement, and termination obligations.

Effective date:

Date the agreement becomes enforceable.

Service initiation:

Target date for network go-live and provisioning.

SLA measurement window:

Specify monthly or 30-day measurement periods.

Billing cycle:

Monthly, quarterly, or annual invoicing cadence.

Termination notice:

Typical 30–90 day written notice period.

Common Mistakes and Contractual Risks

Vague SLAs: Creates disputes over credits
Missing security terms: Increases breach liability
Incorrect parties: May void enforcement
Unsigned exhibits: Key attachments may be unenforceable
Undefined change orders: Leads to unexpected costs
Improper signatory: Risk of non-binding signature
