Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for the notice period stated above after written notice. Company may also terminate immediately for Registrant insolvency, bankruptcy, or conduct that materially threatens Company operations.

Confidentiality

Each party agrees that all non-public, proprietary, or confidential information disclosed by one party to the other in connection with this Agreement shall be held in confidence and shall not be disclosed to any third party except as required by law. Confidential information does not include information that becomes publicly available without breach of this Agreement or is independently developed by the receiving party.

The confidentiality obligations in this section shall survive termination of this Agreement for a period of unless otherwise required by law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in that State for any disputes arising under this Agreement.

Entire Agreement

This Agreement, together with any schedules or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment to this Agreement will be effective unless in writing and signed by both parties.
