7. BUYER ACKNOWLEDGMENT

Buyer acknowledges receipt of this Disclosure and acknowledges that Buyer has had the opportunity to inspect the Property and to obtain independent inspections, environmental assessments, or other investigations. Buyer further acknowledges that Seller's disclosures are limited to facts known to Seller and do not replace or limit Buyer's right to inspect.

8. REMEDIES; INDEMNIFICATION

If Buyer discovers a material inaccuracy in Seller's representations that materially and adversely affects the value or use of the Property, Buyer shall provide written notice to Seller describing the alleged inaccuracy and the claimed loss. Seller shall have a reasonable opportunity to investigate and, where appropriate, cure the inaccuracy. To the extent permitted by law, Seller shall indemnify and hold Buyer harmless from losses arising from Seller's intentional or negligent misrepresentation in this Disclosure.

9. NOTICES

All notices, demands, or other communications required or permitted under this Disclosure shall be in writing and delivered to the addresses specified below by hand delivery, nationally recognized overnight courier, or certified mail, return receipt requested, and shall be effective upon receipt.

10. GOVERNING LAW

This Disclosure shall be governed by and construed in accordance with the laws of the State of New York without regard to choice-of-law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in New York County for resolution of any disputes arising under this Disclosure.

11. ENTIRE AGREEMENT
