Confidentiality

Each party shall maintain the confidentiality of non-public information received from the other and shall not disclose such information except as required by law or with the prior written consent of the disclosing party. Confidential information does not include information that (a) is or becomes generally available to the public through no breach of this form, (b) is received from a third party free to disclose it, or (c) is independently developed without use of the other party's confidential information.

Representations and Warranties

Each party represents and warrants that it has full power and authority to enter into this election and that the individual signing on its behalf is duly authorized. The Non-Participating Party further represents that the election is made voluntarily and with full understanding of any consequences set forth herein.

Acknowledgment of Irrevocability

Except as expressly provided in this form, the Non-Participating Party acknowledges that this election is irrevocable for the Term unless the Program Administrator provides written consent to rescind. The parties may provide for limited rescission or modification only by a written amendment signed by both parties.
