NONCOMPETE EMPLOYMENT AGREEMENT

This Noncompete Employment Agreement (the "Agreement") is entered into as of by and between Employer Name: , having its principal place of business at ("Employer"), and Employee Name: , of Employee Address: ("Employee").

RECITALS

WHEREAS, Employer is engaged in the business of and possesses trade secrets, customer lists, and proprietary processes that are valuable and confidential; and

WHEREAS, Employee is being or has been employed by Employer in the position of and in connection with such employment will have access to Confidential Information and direct contact with customers, vendors, and personnel; and

WHEREAS, Employer requires reasonable protections for its legitimate business interests as a condition and consideration for Employee's continued employment and access to such Confidential Information.

NOW, THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

"Confidential Information" means any non-public information disclosed to Employee by Employer or learned by Employee in the course of employment, including but not limited to trade secrets, inventions, processes, formulas, software, product plans, customer lists, pricing and marketing strategies, financial information, and personnel information. Confidential Information does not include information that (i) is or becomes publicly available through no fault of Employee, (ii) is rightfully received from a third party without restriction, or (iii) is independently developed by Employee without use of Employer's Confidential Information.

"Restricted Business" means those activities that are competitive with Employer's business as conducted, planned, or reasonably contemplated by Employer during the Term and within the Geographic Scope defined herein. Specific example of Restricted Business:

2. TERM

This Agreement shall commence on the Effective Date and shall continue in effect for the duration of Employee's employment with Employer and for a period of months following termination of employment for any reason (the "Restricted Period").

3. NONCOMPETE COVENANT

During the Restricted Period, Employee shall not, directly or indirectly, either as owner, partner, joint venturer, employee, consultant, officer, director, investor, or otherwise, engage in, be employed by, consult with, or render services to any business that is engaged in the Restricted Business within the Geographic Scope of: . Notwithstanding the foregoing, passive ownership of less than two percent (2%) of the outstanding securities of a publicly traded company shall not constitute a violation.

4. NON-SOLICITATION AND NON-INTERFERENCE

During the Restricted Period, Employee shall not, without Employer's prior written consent, (a) solicit, induce, or attempt to induce any employee or independent contractor of Employer to terminate or modify their relationship with Employer, or (b) solicit or service any customer or prospective customer of Employer with whom Employee had material contact on behalf of Employer during the twelve (12) months preceding termination. For purposes of this Agreement, "material contact" means contact sufficient to influence the customer's business relationship with Employer.

5. CONSIDERATION

Employee acknowledges that the promises and covenants contained in this Agreement are supported by valuable consideration, including but not limited to: (i) Employee's initial or continued employment; (ii) access to Confidential Information and specialized training; and (iii) in consideration of post-employment restrictive covenants, Employer agrees to provide the following additional consideration (if any): .

6. CONFIDENTIALITY

Employee shall at all times maintain the confidentiality of all Confidential Information and shall not disclose, use, copy, or permit the use of such Confidential Information for any purpose other than the performance of Employee's duties for Employer. Upon termination of employment or upon request, Employee shall immediately return all documents, records, and materials containing Confidential Information.

7. REMEDIES

Employee acknowledges that a breach of this Agreement would cause Employer irreparable harm for which monetary damages would be an inadequate remedy. Accordingly, in addition to any other remedies available at law or in equity, Employer shall be entitled to seek injunctive relief to enforce the provisions of this Agreement without the necessity of posting bond. Employee further agrees that Employer may recover reasonable attorneys' fees and costs incurred in enforcing this Agreement.

8. SEVERABILITY; BLUE-PENCIL

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, such provision shall be reformed only to the extent necessary to make it valid and enforceable while preserving to the fullest extent possible the parties' intent. If reformation is not possible, the remaining provisions shall remain in full force and effect.

9. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

10. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to the same subject matter. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

11. NOTICES

All notices, requests, consents, claims, demands, waivers, and other communications hereunder shall be in writing and shall be delivered to the parties at the addresses set forth below or at such other address as a party may specify in writing.

12. AMENDMENT; WAIVER; COUNTERPARTS

No amendment or waiver shall be effective unless executed in writing by both parties. The failure of either party to enforce any provision of this Agreement shall not constitute a waiver of future enforcement of that or any other provision. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

13. ACKNOWLEDGMENT

Employee acknowledges that Employee has read and understands the provisions of this Agreement, has had an opportunity to consult with counsel, and agrees that the restrictions contained herein are reasonable in scope and necessary for the protection of Employer's legitimate business interests.
