What a Notary Service Agreement Is and when it’s used

A Notary Service Agreement documents the terms under which a notary public or notary service provider will perform notarizations for a client or organization. It sets scope (in-person, mobile, or remote online notarization), fees, identity-proofing and recordkeeping responsibilities, liability and indemnity limits, and any service-level expectations. The agreement clarifies who supplies identification, how audio/video or journal records are retained, which governing law applies, and whether the notary will provide ancillary services such as apostilles, document certification, or courier delivery.

Why a formal agreement matters for notarial services

A written Notary Service Agreement reduces misunderstandings by defining fees, authentication methods, record retention, and liability boundaries; it helps organizations meet legal and compliance obligations when notarizations are frequent or complex.

Why a formal agreement matters for notarial services

Typical users and signing parties

Organizations and individuals who rely on regular notarizations, and the notaries who supply them, use this agreement to set expectations and limit risk.

  • Real estate firms and title companies that coordinate recurring signings and escrow-related notarizations.
  • Healthcare providers arranging notarized consents and release forms under privacy controls.
  • Enterprises using remote online notarization for distributed workforces and international transactions.

The agreement ensures each party understands authentication, recordkeeping, fees, and applicable law before services begin.

Roles who sign and enforce this agreement

Client / Requestor

A company, institution, or individual that requests notarization services and agrees to pay fees, supply signer identification, and comply with any required disclosures or consent procedures; responsible for providing accurate document versions.

Notary / Provider

A commissioned notary public or notary service entity that performs the notarization, follows identity-proofing and recordkeeping rules, and maintains required licensing and insurance; may subcontract mobile or RON services under the agreement.

Essential data and compliance items to include

Party Names: Full legal names
Service Scope: In-person / RON / mobile
Fee Schedule: Per signature / session
Authentication: KBA / ID analysis
Record Retention: Journal and A/V terms
Governing Law: State selection

Common preparation pitfalls to avoid

  • Unclear authentication method: failing to specify whether Knowledge-Based Authentication or credential analysis applies can delay RON sessions.
  • Undefined fee terms: omitting travel, session, or reconvening fees leads to billing disputes and missed payments.
  • Incomplete identity documents: accepting partial or expired IDs increases the chance of notarization refusal.
  • Unspecified record ownership: not clarifying who retains audio/video or journal records can create compliance gaps.

Core clauses that make a Notary Service Agreement effective

Include clear language covering services, fees, authentication, liability limits, recordkeeping, and termination to ensure enforceability and operational clarity for both parties.

Scope of Service

Describe the types of notarizations offered (acknowledgments, jurats, RON, mobile) and any exclusions such as legal advice or document drafting.

Authentication Methods

Specify accepted identity-proofing methods (ID review, credential analysis, KBA) and additional authentication for higher-risk transactions.

Fees and Billing

List per-signature or per-session fees, travel charges, cancellation policies, and whether state-capped notary fees apply.

Recordkeeping

State how long notarial journals and audio/video RON recordings will be retained and which party is custodian.

Liability & Indemnity

Limit notary liability where permitted by law and allocate indemnity for client-provided inaccurate documents or IDs.

Termination & Dispute
