What a Note Only Document Is and When It’s Used

A Note Only Document is a written promissory agreement that records a borrower’s unconditional promise to repay a specified principal and, if applicable, interest, without creating a separate security instrument. It typically lists parties, principal amount, interest rate, payment schedule, default remedies, and signature blocks. Note Only Documents are used for unsecured loans, intercompany short-term financing, seller-financing where a separate mortgage is not recorded, and settlement installments. When executed properly they form a legally enforceable debt obligation; electronic execution is permitted under federal and state e-signature law when the four ESIGN/UETA conditions are met.

Why a Clear Note Only Document Matters

A concise Note Only Document clarifies repayment terms, reduces dispute risk, and supports collection or court enforcement. Properly drafted notes protect both lender and borrower and can be executed electronically under the ESIGN Act (15 U.S.C. ch. 96) or state UETA where applicable.

Why a Clear Note Only Document Matters

Who Typically Prepares and Signs a Note Only Document

Typical users span private lenders, small businesses, and parties needing simple unsecured loan documentation.

  • Private lenders and borrowers: Individuals or entities documenting short-term or bridge loans with clear repayment terms.
  • Small business owners: Recording owner loans, shareholder advances, or vendor-financing without mortgage or lien.
  • Legal counsel and loan servicers: Drafting or reviewing clauses and handling enforcement or collection workflow.

Identifying the correct signer and role up front prevents execution defects and later enforcement disputes.

Essential Parts of a Professional Note Only Document

A complete note includes party identification, principal, interest, repayment schedule, default provisions, and signature blocks; each element should be unambiguous to support enforceability.

Parties

Identify lender and borrower by full legal name, entity type, and principal business address; include signer authority for entities to avoid later disputes.

Principal

State the exact principal amount in numerals and words to prevent ambiguity and transcription errors in enforcement or collection actions.

Interest

Specify fixed or variable rate, calculation method (simple or compound), and any usury ceiling; include APR disclosure where applicable.

Payment Terms

Describe payment frequency, installment amounts, due dates, prepayment options, and application of payments to interest or principal.

Default

Define events of default, cure periods, late fees, acceleration rights, and remedies available to the lender upon nonpayment.

Signatures

Provide dated signature blocks for all parties, printed names and titles, and space for witness or notary if required by state law.

Step-by-Step: Completing and Executing the Note Only Document

Follow these sequential steps to prepare, execute, and preserve an enforceable Note Only Document.

  • 01
Draft: Assemble parties, amounts, rates, and repayment schedule clearly.
  • 02
Review: Have counsel or a qualified reviewer confirm legal sufficiency.
  • 03
Sign: Execute by all parties with dated signatures and witness/notary as required.
  • 04
Store: Save original in a secure repository and retain electronic copies per retention rules.

Digital Workflow Settings for Online Completion

Configure these settings when using an eSignature platform to ensure proper authentication and auditability.

Field Configuration
Document Upload PDF preferred | ensure final text is flattened before sending
Field Placement Signature, date, initials | lock fields after signing
Authentication Email plus optional SMS code | choose higher assurance for large loans
Notifications Email receipts and completion certificate | keep audit trail enabled

How Electronic Execution and Delivery Typically Flow

A standard online signing flow captures identity, consent, and an audit trail to document intent and attribution.

  • Upload Document: Sender uploads final note PDF to the signing platform.
  • Place Fields: Add signature, initial, and date fields where required.
  • Authenticate Signer: Use email link, SMS code, or stronger verification if needed.
  • Complete Signing: Platform captures timestamps, IPs, and a completion certificate.

Technical Requirements and File Formats for eSigning

Use a platform that supports PDF and DOCX and preserves the audit trail and signed document integrity.

  • File formats: PDF, DOCX | PDF/A recommended for long-term storage
  • Integrations: CRM and cloud storage integrations supported
  • Authentication: Email, SMS, or KBA depending on risk level

Ensure export options produce a tamper-evident signed PDF plus an audit record; store both documents in your retention system.

Key Dates and Timing Considerations

Notes are date-sensitive documents. Track effective date, payment due dates, tax reporting timelines, and any cure periods.

Effective Date:

Date the parties sign; governs interest start and repayment timing.

Payment Due Dates:

Follow the agreed schedule; late fee accruals begin after any specified grace period.

Tax Reporting:

Interest paid may require Form 1099-INT reporting; consult IRS rules for thresholds and deadlines.

Acceleration:

Acceleration clauses make the full balance due upon specified default events.

Record Dates:

Retain execution copies and audit trails from signing platforms immediately after completion.

Common Legal Risks and Consequences

Missing Elements: Could render note unenforceable
Invalid Signature: Improper e-signature consent may undermine enforcement
Incorrect Names: Mismatched party names complicate collection actions
Tax Exposure: Unreported interest can trigger IRS penalties
No Default Terms: Absence of remedies limits lender options
Improper Notarization: State rules may void notarized acknowledgements if incorrect

Frequent Preparation Errors to Avoid

  • Leaving the payment schedule vague, such as 'monthly as needed,' which creates enforceability disputes and collection uncertainty in court.
  • Failing to state the interest calculation method and compounding frequency, causing disagreements over amounts due and accounting inaccuracies.
  • Using nicknames or abbreviations for party names instead of full legal names, which complicates judgment collection against the correct legal entity.
  • Sending unsigned or unexecuted drafts as final versions in electronic workflows and relying on later signature evidence without retaining a clear audit trail.
