NUDITY RIDER AGREEMENT

This Nudity Rider Agreement ("Rider") is entered into as of by and between Producer Name: ("Producer") and Talent Name: ("Talent").

RECITALS

WHEREAS, Producer is engaged in the development, production, distribution and exploitation of the audiovisual production identified above (the "Production"); and

WHEREAS, Talent will perform certain scenes in the Production that may involve partial or full nudity or intimate simulated activity (collectively, "Nudity"); and

WHEREAS, the parties desire to set forth the specific terms, scope of consent, compensation and protocols relating to Talent's performance of Nudity in the Production.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

1. GRANT OF RIGHTS

1.1. Talent hereby grants to Producer the exclusive, irrevocable, worldwide right to record, reproduce, edit, incorporate and otherwise exploit Talent's performance in the Production, including any scenes involving Nudity, in all media now known or hereafter devised for the full term of copyright. This grant includes the right to use Talent's name, image, likeness and biographical information in connection with advertising, publicity and promotion of the Production and its ancillary exploitation.

1.2. The rights granted are limited to uses reasonably related to the Production and its promotion, and shall not include uses materially inconsistent with the nature of the Production without mutual written consent and additional consideration.

2. DESCRIPTION AND SCOPE OF NUDITY

2.1. Talent consents to the following categories of nudity to be captured for the Production (select all that apply):

Implied nudity (non-explicit) Partial nudity Full nudity Simulated sexual activity

2.3. Any alteration to the scope of Nudity as set forth in this Rider shall require Talent's prior written consent and may be subject to additional compensation.

3. COMPENSATION

3.2. Payment Terms: Producer shall pay the Nudity Fee to Talent as follows: . If payment is contingent upon completion of specific deliverables, those deliverables shall be described in writing.

4. ON-SET PROTOCOLS; INTIMACY COORDINATOR

4.1. Producer shall ensure that an experienced intimacy coordinator is retained for all rehearsals and filming of scenes involving Nudity or simulated intimate activity. Talent shall have the right to request the presence of the intimacy coordinator during wardrobe fittings and camera blocking.

4.2. Producer shall provide a secure, private changing area and reasonable measures to limit on-set personnel during takes that include Nudity. Producer shall also provide prior written notice to Talent of the personnel who will be present on set for the relevant scenes.

5. CONSENT, AGE VERIFICATION AND IDENTIFICATION

5.1. Talent represents and warrants that Talent is at least eighteen (18) years of age at the time of execution of this Rider and is legally competent to grant the rights herein. Date of Birth:

5.2. Producer may request, and Talent agrees to provide upon request, government-issued identification to verify age and identity prior to any work involving Nudity.

6. CONFIDENTIALITY

6.1. Except as required for the production, distribution or promotion of the Production, the parties agree not to disclose the specific content, staging or details of the scenes involving Nudity prior to the release of the Production without the other party's written consent. This confidentiality obligation shall not apply to information that becomes publicly known through no breach by the receiving party.

7. REPRESENTATIONS, WARRANTIES AND COVENANTS

7.1. Talent represents and warrants: (a) Talent has the full right and authority to enter into this Rider and to grant the rights herein; (b) the performance and consent provided do not conflict with any existing agreement, and no third-party consents are required; and (c) Talent will comply with on-set protocols and directions consistent with the agreed scope of Nudity.

7.2. Producer represents and warrants that Producer will use Talent's performance in a manner consistent with the terms of this Rider and will not engage in exploitative reuse of Nudity beyond the agreed uses without Talent's written consent.

8. INDEMNIFICATION

8.1. Talent shall indemnify and hold harmless Producer from and against any losses, claims, damages, liabilities and expenses (including reasonable attorneys' fees) arising out of Talent's breach of any representation, warranty or covenant contained herein.

8.2. Producer shall indemnify and hold harmless Talent from and against any losses, claims, damages, liabilities and expenses (including reasonable attorneys' fees) arising out of Producer's material breach of this Rider or the unauthorized use of Talent's performance outside the scope of rights granted herein.

9. EDITING, FINAL CUT AND SUBSEQUENT USE

9.1. Producer shall have editorial control over the final cut of the Production. Notwithstanding Producer's editorial rights, Producer shall not exploit Talent's Nudity in a context materially different from that agreed under this Rider without Talent's prior written consent, which may include additional compensation and restrictions on distribution channels where such use would be inconsistent with Talent's expectations.

10. TERM AND TERMINATION

10.1. This Rider shall remain in effect for the duration of the Production and for the full term of exploitation of the Production as set forth in Section 1.1. Termination of the underlying production agreement shall not automatically terminate the rights granted herein unless expressly agreed in writing by the parties.

11. NOTICES

All notices under this Rider shall be in writing and delivered to the addresses specified above and shall be deemed given when personally delivered, sent by certified mail, return receipt requested, or by nationally recognized overnight courier.

12. GOVERNING LAW; VENUE

This Rider shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws rules. Any dispute arising under this Rider will be brought exclusively in the state or federal courts located in the county in which Producer maintains its principal place of business.

13. ENTIRE AGREEMENT; AMENDMENT; WAIVER; SEVERABILITY; COUNTERPARTS

13.1. Entire Agreement: This Rider, together with any underlying agreements between the parties relating to the Production, constitutes the entire agreement and supersedes all prior or contemporaneous oral or written agreements concerning the subject matter hereof.

13.2. Amendment and Waiver: No amendment or waiver of any provision of this Rider will be effective unless in writing and signed by both parties. The failure of either party to enforce any right shall not be deemed a waiver of that right.

13.3. Severability: If any provision of this Rider is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.

13.4. Counterparts: This Rider may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument.

14. MISCELLANEOUS PROVISIONS

14.1. No Assignment: Neither party may assign its rights under this Rider without the prior written consent of the other, except that Producer may assign to an affiliate or successor in connection with a sale of the Production.

14.2. Independent Contractors: The parties are independent contractors and nothing herein creates an employment, partnership or joint venture relationship.
