This Observation Report and Services Agreement is made and entered into by and between Client Name: and Provider Name: (collectively, the "Parties") as of Effective Date: .

RECITALS

WHEREAS, Provider represents that it has the experience, personnel, and resources necessary to perform the observation, documentation, analysis, and reporting services set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows.

SCOPE OF WORK

Provider shall perform observation services consistent with professional standards applicable to the field, including direct observation, contemporaneous note-taking, collection of factual evidence, and preparation of a written report in accordance with the scope described above. Any tasks outside the scope require prior written amendment signed by both Parties.

PAYMENT TERMS

Client shall pay Provider for the services described in this Agreement in accordance with the following terms. All amounts are expressed in U.S. dollars unless otherwise stated.

Provider may suspend performance if invoices remain unpaid beyond the grace period specified in the payment schedule. Client shall be responsible for reasonable costs of collection, including attorneys' fees and court costs, where permitted by law.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated in accordance with this section.

Either Party may terminate this Agreement for cause upon written notice if the other Party materially breaches any obligation and fails to cure such breach within fourteen (14) days after receipt of written notice. Termination shall not relieve Client of the obligation to pay for services performed and expenses incurred through the effective date of termination. Sections concerning confidentiality, payment, indemnification, and governing law shall survive termination.

CONFIDENTIALITY

During the term of this Agreement and for a period of three (3) years thereafter, each Party shall hold in strict confidence all Confidential Information disclosed by the other Party. "Confidential Information" means non-public information designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and circumstances of disclosure. Confidential Information does not include information that is or becomes generally known to the public through no fault of the receiving Party; independently developed by the receiving Party without use of or reference to the disclosing Party's Confidential Information; or required to be disclosed by law, provided the receiving Party gives prompt written notice and cooperates with reasonable efforts to limit disclosure.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located in that State for disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any attachments and written amendments signed by both Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No modification of this Agreement shall be effective unless in writing and signed by an authorized representative of each Party.

NOTICES

MISCELLANEOUS PROVISIONS

The Parties agree that providers of services shall perform as independent contractors. Nothing in this Agreement creates an employment relationship, joint venture, or partnership. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect. The Parties expressly acknowledge that monetary damages may be insufficient to remedy a breach of confidentiality and that injunctive relief may be sought in addition to any other remedies at law or equity.
