What the OEM Business Services Agreement Covers

An OEM Business Services Agreement is a legally binding contract between an original equipment manufacturer (OEM) and a service provider or reseller that defines services, deliverables, licensing, intellectual property, payment terms, warranties, and termination rights. It allocates responsibility for product support, maintenance, customization, and integration work while protecting trade secrets, specifying performance metrics, and outlining dispute resolution procedures. This agreement is commonly used where an OEM engages third-party providers to deliver services tied to hardware or software products and where downstream distribution or white-labeling is anticipated.

Why a Clear OEM Business Services Agreement Matters

A well-drafted agreement reduces operational ambiguity, limits commercial and IP risk, and sets measurable service expectations. It also clarifies billing, warranties, and liability caps to aid governance and audits while supporting regulatory compliance across applicable jurisdictions.

Why a Clear OEM Business Services Agreement Matters

Who Typically Prepares and Signs This Agreement

This agreement is normally prepared by in-house legal or outside counsel and completed by authorized representatives from both parties before any services begin.

  • OEM legal or contracts team — prepares core terms, IP assignment, and indemnity language for executive review.
  • Service provider accounts or operations — confirms scope of work, SLAs, and resource commitments before signature.
  • Procurement or finance — validates payment terms, invoicing cadence, and tax-related clauses prior to execution.

Executed copies should be held by legal, procurement, and the operational lead who manages the relationship day to day.

Primary Signatory Roles

Authorized Signer

An officer or delegated agent with corporate authority to bind the company. Confirm board or internal delegation limits in writing; without proper authority, the agreement may be voidable or expose the signer to personal liability in limited circumstances.

Contract Manager

The operational lead responsible for day-to-day execution, change orders, and SLA monitoring. This person typically handles notices, service credits, and coordinates technical acceptance testing under the agreement.

Essential Compliance and Security Considerations

Encryption: TLS 1.2/1.3; AES-256 at rest
Audit Trail: Detailed signing history required
HIPAA BAA: Execute BAA if PHI involved
21 CFR Part 11: Needed for FDA-regulated records
SOC 2: Useful for vendor assurance
Access Controls: Role-based permissions

Key Legal Risks to Avoid

Unclear Scope: Leads to disputes
IP Ambiguity: Can forfeit ownership
Missing Authority: May void agreement
Inadequate Insurance: Exposes uninsured risk
Noncompliance: Triggers regulatory fines
Poor Recordkeeping: Jeopardizes enforcement

Common Preparation Pitfalls

  • Failing to define measurable service levels and acceptance criteria, which creates disagreement over completion and payment.
  • Using vague IP language that does not specify whether custom code or configurations are assigned or licensed to the OEM.
  • Omitting termination-for-convenience or transition assistance provisions that leave parties without an orderly exit plan.
  • Neglecting to address cross-border data transfers and local privacy obligations when services or customers are outside the U.S.

Six Core Sections to Include in the Agreement

A complete OEM Business Services Agreement typically includes definitions, scope, commercial terms, IP ownership, confidentiality, and dispute resolution. Each section should be precise and aligned with commercial expectations to reduce future disputes.

Scope

Define services, deliverables, milestones, and acceptance testing with measurable criteria and reference exhibits where technical specs are lengthy.

Payment

Include fees, invoicing schedule, tax treatment, late payment interest, and any milestone or usage-based billing mechanics.

Intellectual Property

Specify ownership of preexisting IP, assignment of work product, and licensing rights for OEM branding or resale, including source code and documentation.

Confidentiality

Set nondisclosure obligations, duration, permitted disclosures, and remedies for unauthorized disclosure, plus carve-outs for required disclosures.

Warranties & Liabilities

State limited warranties, disclaimer language, indemnity scope, and liability caps or exclusions for consequential damages.

Termination

Describe termination for cause/convenience, cure periods, transition assistance, and post-termination obligations including data return or deletion.

Step-by-Step: Preparing and Executing the Agreement

Follow a clear sequence to draft, review, approve, and sign the agreement to reduce execution risk and ensure operational readiness.

  • 01
Draft: Prepare an initial draft with exhibits and schedules.
  • 02
Internal Review: Legal and finance review for risk and tax issues.
  • 03
Negotiation: Exchange redlines and settle key commercial points.
  • 04
Execution: Sign by authorized representatives and distribute executed copies.

Where Executed Agreements Are Routed

After signature, route the final agreement to specific stakeholders and systems to ensure compliance, invoicing, and operational handoff.

  • Legal Repository: Store the executed PDF in the legal contract repository.
  • Procurement System: Upload contract metadata to procurement or ERP for tracking.
  • Account Owner: Deliver signed copy to the operational account manager.
  • Finance: Send invoices and payment schedules to accounts payable.

Configuring an Online Signing Workflow

Set up an eSigning workflow to control reviewer order, authentication, and required fields before sending the document for signature.

Field Configuration
Signer Sequence Sequential or parallel signer order
Authentication Email link, SMS code, or stronger KBA
Required Fields Signatures, dates, initials enforced
Notifications Automatic reminders and completion alerts

Digital Signing and Technical Considerations

Use an eSignature platform that preserves an auditable trail and supports the authentication level required by your organization.

  • File Formats: PDF and DOCX supported for stable rendering
  • Integrations: Connectors for CRM/ERP and cloud storage recommended
  • Security: Ensure TLS and AES encryption are in place

Confirm the chosen platform meets any regulatory needs (HIPAA, 21 CFR Part 11) and allows export of the certificate of completion for audits.

eSignature Pricing and Feature Comparison

Common eSignature vendors differ by pricing model, enterprise features, and compliance options; select a plan that matches document volume and regulatory requirements.
