What an OEM Services Agreement Covers

An OEM Services Agreement is a commercial contract between an original equipment manufacturer (OEM) and a counterparty that defines the scope of services, responsibilities, and deliverables for manufacturing, customization, integration, maintenance, or support of products. It allocates risk, sets pricing and payment terms, addresses intellectual property ownership and licensing, defines quality and warranty obligations, and establishes performance metrics, acceptance testing, and remedies for breach. The agreement also typically specifies confidentiality, data protection, insurance, indemnities, termination rights, and any required regulatory or export-control compliance measures.

Why a Clear OEM Services Agreement Matters

A precise OEM Services Agreement reduces disputes by documenting responsibilities, pricing, IP ownership, and quality expectations, improving project predictability and protecting both parties’ commercial interests.

Why a Clear OEM Services Agreement Matters

Who Typically Drafts and Signs This Agreement

The agreement is used by manufacturers, suppliers, OEM customers, licensors, and in-house legal or procurement teams to formalize product and service relationships.

  • Manufacturers and suppliers who deliver product components or integration services on defined schedules and quality metrics.
  • OEM customers and integrators procuring produced goods, custom assemblies, or ongoing maintenance and warranty services.
  • Corporate legal teams, procurement officers, or named corporate signatories with delegated authority to bind the company.

Legal, operations, procurement, and authorized officers should review and sign to ensure contractual authority and operational alignment.

Essential Clauses and Contract Elements

A professional OEM Services Agreement groups commercial and legal risks into discrete sections so each party knows requirements, timelines, and remedies.

Scope of Services

Precisely describe work, deliverables, acceptance criteria, testing procedures, and milestone deliverables to avoid scope creep and disputes during production or integration phases.

Payment Terms

Define pricing, invoicing schedule, currency, taxes, late-payment interest, and any retainage or milestone-based payments tied to acceptance testing or delivery.

Intellectual Property

Allocate ownership or license rights for existing IP, newly developed work product, and granted licenses; include assignment, moral rights waiver, and use limitations where needed.

Warranties & Remedies

State product warranties, service-level expectations, remedy windows, repair/replace obligations, and limitations on consequential damages or cap on liability.

Confidentiality & Data

Include non-disclosure terms, permitted uses, data-handling obligations, and required privacy safeguards for any protected health, financial, or personal data.

Termination & Transition

Set termination triggers, notice requirements, transition assistance, inventory buyback or wind-down obligations, and post-termination data handling.

Step-by-Step: Completing the Agreement

Follow these steps in sequence to draft, review, and execute a complete OEM Services Agreement with minimal rework.

  • 01
Draft Scope: Define deliverables, milestones, and acceptance criteria before pricing or schedules are finalized.
  • 02
Agree Commercials: Negotiate pricing, payment schedule, taxes, and liability caps tied to milestones.
  • 03
Legal Review: Have procurement and counsel validate IP, indemnities, export controls, and compliance clauses.
  • 04
Execute: Obtain authorized signatures from both parties and record the effective date and executed copy distribution.

How to Configure an Online Signing Workflow

Set up fields, signing order, and authentication to match internal approval processes before sending for signature.

Field Configuration
Signature Order Define sequential or parallel signing to match approvals and responsibilities.
Authentication Select email link, SMS code, or stronger verification like KBA for higher-risk transactions.
Conditional Fields Use conditional logic to show payment or warranty fields only when relevant to selected options.
Audit Trail Enable full audit logging including timestamps, IP addresses, and signer actions for evidentiary records.

Where to Send and How to Deliver Executed Copies

Establish distribution rules for executed agreements so internal teams, finance, and operations have immediate access to signed documents.

  • Primary Recipient: Send executed PDF to procurement and legal distribution lists for contract management.
  • Finance: Provide signed invoice and payment schedule to accounts payable for processing.
  • Operations: Deliver acceptance criteria and delivery schedules to fulfillment teams.
  • Archive: Store a copy in the contract repository with version control and retention tags.

Digital Signing and eSubmission Considerations

Choose an eSignature platform that supports your required authentication, audit trail, and compliance needs before sending the agreement.

  • File Formats: PDF and DOCX export supported.
  • Integrations: Connect to CRM, ERP, and cloud storage.
  • Compliance: BAA and 21 CFR options available.

Typical Timelines and Critical Dates

Track the effective date, delivery milestones, acceptance periods, warranty windows, and termination notice periods to avoid missed obligations.

Effective Date:

Date when obligations and warranties commence; affects performance and retention obligations.

Delivery Milestones:

Specify calendar dates or lead times for production, shipment, and acceptance tests.

Acceptance Period:

State number of days for customer testing and formal acceptance procedure.

Warranty Window:

Define warranty duration from acceptance or delivery, and remedy timeframes.

Termination Notice:

Minimum number of days required for notice prior to termination for convenience.

Key Milestones for Contract Lifecycle

Map these numbered stages to your internal project plan and assign accountable owners for each milestone.

01

Negotiation Complete

Finalize commercial and legal terms and circulate redline for final approval.

02

Signature Execution

Obtain executed agreement and confirm effective date and distribution list.

03

Production Start

Begin manufacturing or service delivery per agreed schedule and material requirements.

04

Warranty & Closeout

Complete acceptance, warranty monitoring, and any post-delivery transition tasks.

Common Pitfalls When Preparing an OEM Services Agreement

  • Vague scope and acceptance criteria cause disputes and delay payment; always attach technical specifications and measurable acceptance tests.
  • Unclear IP ownership for developed tooling or firmware leads to future licensing disputes; explicitly assign or license new work product.
  • Missing export-control or regulatory clauses can expose parties to fines when components cross borders; include compliance warranties and cooperation obligations.
  • Incomplete signature authority or unsigned amendments create enforceability problems; confirm delegated signing authority and record all changes in writing.

Key Legal and Commercial Risks

Contract Voidance: Improper signatures risk unenforceability.
Payment Disputes: Late or missing payments create breach claims.
IP Misassignment: Unclear assignment yields ownership litigation.
Compliance Fines: Regulatory breaches invite statutory penalties.
Delay Liability: Missed milestones trigger liquidated damages.
Tax Exposure: Incorrect entity or tax treatment creates assessments.
