What an Office Build-out Agreement Covers

An Office Build-out Agreement is a contract that defines the scope, responsibilities, costs, schedule and acceptance criteria for improving or fitting out leased commercial space. It allocates design and construction obligations between landlord, tenant and contractors, clarifies payment and change order procedures, identifies required permits and inspections, and records insurance and lien waiver expectations. The agreement reduces misunderstandings by documenting milestones, warranty and maintenance terms, and remedies for delay or defects. Parties typically attach plans, budgets, and a detailed schedule as enforceable exhibits to the main contract.

Why Use a Formal Office Build-out Agreement

A written build-out agreement protects each party by fixing scope, timeline, responsibilities, and payment triggers. It reduces disputes over what work was included, who pays for changes or permits, and when the space is ready for occupancy. Clear documentation also supports compliance with lender, insurer and municipal permit requirements.

Why Use a Formal Office Build-out Agreement

Who Typically Prepares and Signs This Agreement

Common participants include the tenant, the landlord, general contractor and sometimes a project manager or architect.

  • Landlords and property managers requiring standardized tenant improvement processes and cost allocation.
  • Tenants commissioning office improvements who need a clear budget, schedule and acceptance criteria.
  • General contractors and subcontractors who need defined scope, payment schedule and change order procedures.

Each signer should have authority and, where needed, corporate or landlord approvals in writing to bind the entity.

Who Signs and Why

Landlord — Property Representative

A property owner or authorized manager signs to confirm tenant improvements and any landlord contributions, ensure compliance with building rules, and preserve landlord remedies for construction delays or contractor liens.

Tenant — Authorized Officer

A tenant signatory (corporate officer or authorized agent) signs to accept the defined scope, payment terms, and schedule, and to acknowledge responsibilities for permitting, insurance and final acceptance.

Essential Components to Include

A professional Office Build-out Agreement is modular: each section allocates risk, defines deliverables, and links pricing to measurable milestones.

Scope of Work

Detailed plans, specifications, and a list of excluded items so parties share a common, measurable work definition and acceptance criteria.

Budget and Payments

Line-item costs, tenant allowance or landlord contribution, draw schedule, retainage, and invoicing requirements to control cash flow and approvals.

Project Schedule

Start and completion dates, milestone payments tied to milestones, liquidated damages for delay, and procedures for extensions.

Change Orders

Written change order process, approval authorities, pricing method, and time impact analysis to prevent scope creep disputes.

Permits and Inspections

Which party secures permits, pays fees, and arranges inspections; remedies for permit denial or code changes affecting scope or cost.

Acceptance & Warranty

Punchlist, final walk-through criteria, correction timelines, and warranty periods for materials and workmanship.

Required Information and Fields

Party Names: Full legal names
Effective Date: MM/DD/YYYY
Project Address: Street, city, state, ZIP
Allowance Amount: Dollar amount

Step-by-Step: Complete and Execute the Agreement

Follow a consistent order: confirm parties, verify scope, attach exhibits, and obtain all required signatures and permits.

  • 01
Prepare Draft: Assemble plans, budget, and schedule attachments.
  • 02
Review Legal Terms: Confirm indemnity, insurance, and warranty clauses.
  • 03
Approve Budget: Secure tenant allowance and payment milestones.

How to Configure an Online Build-out Workflow

Set up digital routing and required fields so each signature and approval is auditable and timely.

Field Configuration
Document Upload Upload final contract as PDF or DOCX
Place Signatures Add signature, date, and initial fields
Authentication Require email or SMS code verification
Notifications Set reminders and completion emails

Digital Signing and eSubmission Considerations

Use an eSignature platform that supports audit trails, secure storage and the file formats used for contracts and plans.

  • Formats Supported: PDF, DOCX, XLSX
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Security: TLS in transit, AES-256 at rest

Confirm the vendor supports HIPAA/BAA or 21 CFR Part 11 where relevant, offers audit trails, and allows long-term export of signed PDFs for record retention.

Where to Send and How to Route the Executed Agreement

Establish a clear distribution list and filing locations for executed originals, permits and contractor records.

  • Landlord: Send executed original to property records
  • Tenant: Keep fully executed copy for occupancy records
  • Contractor: Provide signed scope and change orders
  • Permit Office: File required documents with local building department

Common Timelines and Deadline Expectations

Key dates should be explicit in the agreement to reduce disputes and align payments with performance.

Permit Application Deadline:

Submit before construction start to avoid schedule delays

Construction Start Date:

Date when contractor mobilization must begin

Milestone Inspections:

Scheduled inspections tied to payment milestones

Substantial Completion:

When tenant may occupy subject to punchlist

Final Acceptance:

Final sign-off after corrections and warranty start

Tips for Accurate and Efficient Completion

Adopt repeatable practices to reduce disputes and streamline approvals for build-out projects.

Use Detailed Exhibits
Attach clear drawings, schedules, and a line-item budget so scope and acceptance criteria are unambiguous. Explicit attachments reduce arguments about what was included and speed invoice approvals.
Set Payment Milestones
Link payments to verifiable milestones and inspections. Milestone triggers should require documented completion and punchlist sign-off to protect both parties from premature payments.
Define Change Order Process
Require written change orders with stated cost and time impacts and identify approval authorities. A strict change process prevents cost overruns and schedule disputes.
Preserve Records
Keep signed originals, permit approvals and inspection reports for the retention period. Retained records support warranty claims, lien defense, and tax or audit inquiries.
