OFFICE DESK USAGE AGREEMENT

Parties

This Office Desk Usage Agreement ("Agreement") is entered into as of by and between:

Recitals

WHEREAS, Provider maintains office space located within Provider's premises and offers temporary use of individual desks and related common facilities; and

WHEREAS, Licensee desires to obtain use of a designated desk and access to certain shared services in accordance with the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend that this Agreement govern the permitted use, fees, term, confidentiality and liabilities associated with the desk usage.

Scope of Use

Provider grants Licensee a non-exclusive, revocable license to occupy a single desk space, together with reasonable access to shared meeting rooms, kitchen, printing facilities and common areas as specified below. The desk space is intended for general office work and related professional activities only. Licensee shall not use the desk for retail operations, manufacturing, hazardous activities, or unlawful conduct.

Payment Terms

Licensee shall pay Provider the fees set forth below in consideration for the desk usage and included services. All amounts are in U.S. dollars and are exclusive of taxes, which shall be paid by Licensee where applicable.

Term and Termination

This Agreement commences on and continues through unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period specified above. Provider may immediately terminate this Agreement for nonpayment or for violations of safety or security policies.

Check to provide for automatic renewal on a month-to-month basis at the end of the initial term unless either party provides the notice set forth above.

Use, Access and House Rules

Licensee shall use the desk and shared facilities in a professional manner, comply with Provider's reasonable building and security policies, not create excessive noise or nuisance, and shall be responsible for the conduct of its guests. Provider may establish reasonable rules governing hours of access, booking of meeting rooms, printing quotas and use of kitchen and mail services.

Confidentiality

Each party shall protect the other party's Confidential Information and shall not disclose it to third parties except as required by law or as necessary to perform obligations under this Agreement. "Confidential Information" includes non-public business information, client lists, proprietary processes, and all materials clearly identified as confidential at disclosure.

Insurance and Indemnity

Licensee shall maintain commercial general liability insurance covering its activities at the premises with limits no less than per occurrence and shall provide evidence of such insurance upon Provider's request. Licensee shall indemnify and hold harmless Provider from any claims, losses or liabilities arising out of Licensee's use of the desk, except to the extent caused by Provider's gross negligence or willful misconduct.

Repairs, Maintenance and Damage

Provider shall maintain common areas and structural elements. Licensee shall be responsible for damage caused by Licensee or its guests beyond normal wear and tear and shall reimburse Provider for repair costs within thirty (30) days of invoicing.

Compliance with Law

Licensee shall comply with all applicable laws, building rules and safety regulations. Licensee shall not store hazardous materials and shall comply with fire and safety protocols established by Provider or building management.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and representations, whether written or oral.

Severability; Amendment

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement may be amended only by a written instrument signed by both parties.
