GENERAL BUSINESS AGREEMENT

This General Business Agreement ("Agreement") is made and entered into as of (the "Effective Date"), by and between the following parties.

RECITALS

WHEREAS, Client desires to engage Service Provider to perform certain services described herein and Service Provider has the capacity and expertise to perform such services on the terms and conditions set forth in this Agreement.

WHEREAS, the parties intend by this Agreement to set forth the scope, payment, confidentiality and other material terms governing the relationship between the parties.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

SCOPE OF WORK

Service Provider shall perform the services described below consistent with industry standards and in a professional and timely manner.

PAYMENT TERMS

As consideration for the services performed, Client shall pay Service Provider in accordance with the following terms.

If any undisputed amount due under this Agreement is not paid when due, Client shall pay a late fee of % per month (or the maximum permitted by law, if less), together with all reasonable costs of collection and attorneys' fees.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon written notice to the other party no less than prior to the effective date of termination. Either party may terminate for material breach if the breaching party fails to cure the breach within after receipt of written notice.

CONFIDENTIALITY

Each party (the "Receiving Party") shall hold in strict confidence all non-public, proprietary or confidential information disclosed by the other party (the "Disclosing Party") in connection with this Agreement ("Confidential Information"). The Receiving Party shall not use Confidential Information except to perform its obligations under this Agreement and shall not disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein. Confidential Information does not include information that (i) is or becomes generally known to the public through no fault of the Receiving Party, (ii) was in the Receiving Party's lawful possession prior to disclosure by the Disclosing Party, or (iii) is rightfully received by the Receiving Party from a third party without restriction on disclosure.

Upon termination of this Agreement or upon the Disclosing Party's written request, the Receiving Party shall return or destroy all Confidential Information and certify in writing that all such materials have been returned or destroyed, except that the Receiving Party may retain records required by law or for compliance with accounting and audit requirements, subject to the confidentiality obligations herein.

LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, or breaches of confidentiality or intellectual property rights, neither party shall be liable to the other for consequential, incidental, indirect, special or punitive damages, and total aggregate liability shall not exceed the total amount paid or payable under this Agreement in the twelve (12) months preceding the claim.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth in the Parties section above or such other address as either party may designate by notice in accordance with this section. Notices shall be deemed given when delivered in person, by certified mail, or by a reputable overnight courier.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflict of law principles. Any dispute arising under or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts located in that state unless the parties mutually agree otherwise in writing.

ENTIRE AGREEMENT

This Agreement, including any attachments or exhibits referenced herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous oral and written agreements, proposals and communications. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors and nothing in this Agreement shall create an employer-employee, partnership or joint venture relationship. Neither party may assign this Agreement without the prior written consent of the other, except that a party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.
