Office Space Planning Agreement

This General Business Agreement (the "Agreement") is made effective as of Effective Date: between Client Name: with principal address: and Planner Name: with principal address: .

RECITALS

WHEREAS, Client desires professional services to plan, document, and coordinate the layout, furnishing, and functional allocation of the office premises described in the Scope of Work; and

WHEREAS, Planner represents that Planner has the experience, personnel, and professional capability to provide office space planning, programming, and related deliverables in accordance with industry standards; and

WHEREAS, the parties desire to set forth their mutual rights and obligations with respect to such services under the terms and conditions of this Agreement.

SCOPE OF WORK

Planner shall provide professional office space planning services including programming, space allocation diagrams, preliminary and final plan sets, furniture layout, coordination with Client stakeholders, and a recommended phasing schedule. Specific deliverables, milestones, and acceptance criteria are described below and in the field for Scope of Work.

PAYMENT TERMS

Client shall pay Planner for services rendered as follows. All amounts are stated in U.S. dollars.

Overdue amounts shall accrue interest at the rate of % per month (or the maximum rate permitted by law, if lower). Client is responsible for reasonable collection costs and legal fees incurred by Planner to recover unpaid amounts.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to the intended termination date. Either party may terminate for cause upon material breach by the other party if such breach is not cured within thirty (30) days after receipt of written notice specifying the breach.

In the event of termination, Planner shall be entitled to payment for all services performed and reimbursable expenses incurred through the effective date of termination, together with any reasonable wind-down costs.

CONFIDENTIALITY

Each party acknowledges that, during the performance of this Agreement, it may receive Confidential Information of the other party. "Confidential Information" means information disclosed in any form that is marked confidential or that a reasonable person would understand to be confidential, including but not limited to space plans, proprietary workplace strategies, financial data, and client lists.

Each receiving party shall: (a) hold Confidential Information in confidence using at least the same degree of care it uses to protect its own confidential information (but no less than reasonable care); (b) not use Confidential Information other than to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to its employees, consultants, or contractors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein.

Confidentiality obligations shall not apply to information that: (i) is or becomes publicly available other than by breach of this Agreement; (ii) was lawfully in the receiving party's possession prior to disclosure; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed without use of the disclosing party's Confidential Information. Upon termination or expiration, the receiving party shall return or destroy Confidential Information as directed by the disclosing party.

Confidentiality expressly includes all drawings, layouts, and furnishing specifications created by Planner.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. Any dispute arising out of or relating to this Agreement shall be resolved in the state or federal courts located within that State.

LIMITATION OF LIABILITY

Except for liability resulting from a party's gross negligence or willful misconduct, in no event shall either party be liable to the other for consequential, incidental, special, or punitive damages, and each party's aggregate liability under this Agreement shall be limited to the fees paid to Planner under this Agreement during the twelve (12) month period preceding the event giving rise to the claim.

ENTIRE AGREEMENT

This Agreement, together with any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, or communications, whether oral or written. Any modification to this Agreement must be in writing and signed by both parties.
