SCOPE OF WORK

Supplier shall supply, pack, and deliver the items listed in the ITEMIZED ORDER in accordance with the quantities, pricing and delivery schedule specified herein. Supplier shall ensure that all goods are new, of merchantable quality, free from defects in material and workmanship, and conform to the specifications and any samples provided. Risk of loss shall pass to Purchaser upon delivery as set forth in this Agreement.

PAYMENT TERMS

Purchaser shall pay Supplier for delivered goods as set forth herein. All prices are exclusive of applicable taxes unless otherwise stated. Supplier shall invoice Purchaser upon shipment or delivery in accordance with the agreed schedule.

Late payments shall incur a late fee of % per month on any unpaid balance, or the maximum allowed by law, whichever is less.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing days' prior written notice. Either party may terminate immediately for cause upon written notice if the other party materially breaches any obligation and fails to cure such breach within days after receipt of notice.

CONFIDENTIALITY

Each party acknowledges that it may receive confidential or proprietary information from the other in connection with this Agreement. Such Confidential Information shall not be disclosed or used except as required to perform under this Agreement. Confidential Information does not include information which is or becomes public through no fault of the receiving party, is independently developed, or is rightfully obtained from a third party without restriction. The obligations of confidentiality shall survive termination or expiration of this Agreement for a period of two (2) years.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. Exclusive venue for any action arising out of this Agreement shall be the state or federal courts located in that state.

ENTIRE AGREEMENT

This document, including its ITEMIZED ORDER and any attached specifications or schedules signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations, understandings and agreements, whether written or oral. Any amendment must be in writing and signed by an authorized representative of each party.

MISCELLANEOUS

The parties represent and warrant that they have the authority to enter into this Agreement. Neither party may assign its rights or delegate its obligations hereunder without the prior written consent of the other, except to a successor in interest in connection with a merger or sale of substantially all assets.
