What an Office Use Agreement Covers

An Office Use Agreement records terms for using a designated office space, shared workspace, or administrative facilities. It clarifies permitted uses, access hours, shared services, maintenance responsibilities, cost allocation, and liability limits between parties. The document typically identifies the parties, describes the space and permitted activities, sets an effective date and term, and specifies who may enter or modify the agreement. For organizations, this agreement helps reduce operational disputes and documents internal rules for facilities management and third-party access.

Why an Office Use Agreement Matters

An Office Use Agreement establishes clear operational expectations, reduces ambiguity about permitted activities, and allocates costs and liabilities. It provides written evidence of consent and conditions for auditors, insurers, and regulators while supporting consistent enforcement of office policies.

Why an Office Use Agreement Matters

Who Typically Prepares and Signs This Agreement

Organizations, landlords, property managers, department heads, and contractors commonly prepare or complete Office Use Agreements to set permissions and responsibilities for office access and services.

  • Small business owners and startups managing shared office spaces or subleases who need clear use rules and cost sharing.
  • Facility managers and property administrators who control access, maintenance schedules, and utility charges for tenants.
  • Legal or procurement teams that review terms to confirm compliance, insurance, and liability allocation before approval.

Having the correct parties identified and a signed record helps when enforcing rules, reconciling costs, or responding to incidents.

Common Pitfalls to Avoid

  • Vague permitted-use language allowing unintended activities and disputes over whether certain operations are allowed within the space.
  • Omitting insurance requirements or limits, which can leave parties exposed to uninsured losses from accidents or third-party claims.
  • Failing to specify payment timing and late fees, causing delayed collections and inconsistent cost allocation for shared services.
  • Not defining termination or exit conditions, resulting in disagreement over responsibilities for repairs and final condition of the premises.

Risks of an Incorrect or Missing Agreement

Operational Disputes: Increased litigation risk
Financial Loss: Unrecoverable costs
Regulatory Exposure: Violations of zoning or safety rules
Insurance Gaps: Denied claims for uncovered activities
Access Conflicts: Unauthorized occupancy
Recordkeeping Failures: Loss of audit evidence
