OFFICER BONUS AGREEMENT

WHEREAS, the Company desires to provide a cash bonus to the Officer in recognition of the Officer's services and to incentivize performance for the Performance Period set forth below; and

Conditions and Withholding

Payment of the Bonus is conditioned upon the Officer's continued employment through the Payment Date, except as otherwise provided in this Agreement. The Company shall deduct any federal, state, local or other taxes and withholdings required by law from the Bonus. The Officer is responsible for any taxes not withheld by the Company.

Forfeiture and Clawback

If, prior to Payment Date, the Officer's employment is terminated for Cause, or if the Board determines that the Officer engaged in fraud, material misconduct, or willful breach of duty that affected the accuracy of financial statements or the calculation of the Bonus, the Officer shall forfeit any unpaid Bonus and shall be required to repay amounts already paid to the extent necessary to correct any overpayment resulting from such acts.

In the event of a restatement of financial results due to misconduct or material error that would have reduced the Bonus, the Officer agrees to repay the excess amount in accordance with any clawback policy adopted by the Company and applicable law.

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflicts of law principles.
