RECITALS

2. REPRESENTATIONS AND WARRANTIES

2.1 Corporate Status. The Company is duly organized, validly existing and in good standing under the laws of the jurisdiction of its organization and has all requisite corporate power and authority to own its properties and to carry on its business as now conducted.

The execution, delivery and performance of the Agreement and this Certificate have been duly authorized by all necessary corporate action of the Company and do not and will not (i) violate any provision of the Company's charter or bylaws or (ii) violate any law, order or agreement binding upon the Company.

2.3 No Default. There exists no Event of Default under the Agreement or any related Transaction Document, except for the exceptions described below.

2.4 Compliance with Laws. The Company is in compliance in all material respects with all applicable statutes, regulations and orders, except where failure to comply would not reasonably be expected to have a Material Adverse Effect.

2.5 Financial Statements. The financial statements and other financial information made available to the Recipient fairly present, in all material respects, the financial condition of the Company as of the respective dates thereof, subject only to normal year-end adjustments and the absence of disclosure of immaterial contingencies.

3. CERTIFICATION OF COMPLIANCE

The undersigned Officer certifies that:

  No Event of Default has occurred and is continuing under the Agreement as of the date hereof.

  There has been no material adverse change in the business, operations, assets or financial condition of the Company since the date of the most recent financial statements delivered to the Recipient.

  All written information, certificates and documents delivered to the Recipient in connection with the Agreement are true, complete and correct in all material respects as of the date hereof.

4. AUTHORIZING ACTIONS

The actions taken by the Company to authorize the execution, delivery and performance of the Agreement and this Certificate are evidenced by corporate resolutions adopted on , and such resolutions remain in full force and effect as of the date hereof. Reference to the resolution is: .

5. GOVERNING LAW; REMEDIES

No waiver of any provision of this Certificate will be effective unless in writing signed by the party against whom enforcement is sought.
