OFFICIATING EVENT AGREEMENT

This Officiating Event Agreement (the Agreement) is made and entered into by and between:

WHEREAS

WHEREAS, Officiant is engaged in the business of providing ceremonial officiating services and represents that Officiant has the requisite authority, qualifications and licenses to perform such services; and

WHEREAS, Client desires to retain Officiant to perform officiating services for the event described below on the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

Either party may terminate this Agreement for material breach upon written notice delivered to the other party. Non-breaching party shall provide notice and allow days to cure a curable breach. Termination by Client without cause within days of the Event Date will result in forfeiture of the deposit and may require additional cancellation fees as described below.

Confidentiality

Each party agrees that it shall not disclose to any third party any confidential information received from the other party in connection with this Agreement, including ceremony scripts, personal vows, and any proprietary materials, except as required by law or with the prior written consent of the disclosing party. Confidential information does not include information that is or becomes publicly known through no wrongful act of the receiving party.

Representations, Indemnification & Liability

Officiant represents that Officiant is authorized to perform the services described herein and will perform such services in a professional manner. Client represents that Client has authority to enter into this Agreement and to authorize the Event.

Indemnification: Client shall indemnify, defend and hold harmless Officiant and its agents from and against any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of Client's negligence, willful misconduct, or material breach of this Agreement.

Limitation of Liability: Except for liability arising from gross negligence or willful misconduct, the aggregate liability of Officiant for any claim arising under this Agreement shall not exceed the total fees paid by Client to Officiant under this Agreement.

Force Majeure

Neither party shall be liable for delay or failure to perform its obligations under this Agreement for causes beyond its reasonable control, including acts of God, government action, pandemic, fire, flood, or other force majeure events. Affected party shall notify the other party promptly and shall use reasonable efforts to mitigate the effects of such event.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Any dispute arising under this Agreement shall be resolved by binding arbitration or in the courts located in the county specified by agreement of the parties.

Entire Agreement

This Agreement, including any attachments or addenda executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, proposals, negotiations and agreements, whether written or oral. Any modification to this Agreement must be in writing and signed by both parties.
