OFFTAKE AGREEMENT

This Offtake Agreement (the Agreement) is entered into as of by and between Supplier Name: with its principal place of business at ("Supplier") and Offtaker Name: with its principal place of business at ("Offtaker").

Recitals

WHEREAS, Supplier produces or procures the product described as (the Product); and

WHEREAS, Offtaker desires to purchase and accept, and Supplier desires to sell and deliver, the Product in accordance with the terms and conditions set forth herein; and

WHEREAS, the parties intend to set forth the commercial, delivery and administrative arrangements for the sale and purchase of the Product.

Now, Therefore

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. Definitions

1.1 Capitalized terms used in this Agreement shall have the meanings set forth in this Section. "Business Day" means any day other than a Saturday, Sunday or public holiday in the jurisdiction of the Delivery Point. "Contract Quantity" means the aggregate quantity of Product to be supplied under this Agreement as specified in Section 2. "Delivery Point" means the physical location for transfer of Product title and risk as set forth in Section 3. "Product" has the meaning set forth in the Recitals.

2. Term and Contract Quantity

2.1 Term. The term of this Agreement shall commence on and shall continue until , unless earlier terminated in accordance with this Agreement.

2.2 Contract Quantity. Supplier agrees to make available and Offtaker agrees to take and pay for up to of Product during the Term, measured and adjusted in accordance with Section 3 and applicable specifications.

3. Quantity, Delivery and Title

3.1 Delivery Point. Delivery of Product shall occur at the following delivery point: . Title and risk of loss shall pass from Supplier to Offtaker at the Delivery Point, subject to the parties' express agreement on transfer procedures.

3.2 Delivery Schedule. Supplier shall deliver Product in accordance with the delivery schedule attached to this Agreement or as otherwise agreed in writing. Unless otherwise agreed, daily/weekly/monthly delivery tolerances shall be of scheduled quantities.

4. Price and Payment

4.1 Price. The purchase price for the Product shall be determined as follows: , expressed in per .

4.2 Payment Terms. Offtaker shall pay Supplier within days after receipt of a proper invoice. Invoices shall be issued in accordance with Section 5. Late payments shall incur interest at a rate of , calculated monthly.

5. Invoicing and Accounting

5.1 Invoices. Supplier shall submit invoices to Offtaker that itemize the quantity delivered, unit price, total amount due, applicable taxes and the applicable delivery receipts. Invoices shall be submitted to the notice address specified in Section 13.

5.2 Disputes. If Offtaker disputes any portion of an invoice in good faith, Offtaker shall notify Supplier in writing within days after receipt. The undisputed portion shall remain payable under the agreed payment terms.

6. Quality, Inspection and Rejection

6.1 Specifications. Product delivered under this Agreement must conform to the quality and specifications set forth in the specification schedule or as otherwise agreed in writing. See description below for specifications.

6.2 Rejection. If Offtaker reasonably determines that delivered Product fails to meet the agreed specifications, Offtaker shall notify Supplier within Business Days and provide evidence. Supplier shall, at its option and expense, replace or credit the non-conforming Product within a commercially reasonable period.

7. Warranties and Representations

7.1 Mutual Representations. Each party represents and warrants that it has full corporate power and authority to enter into and perform its obligations under this Agreement, that the execution and delivery of this Agreement has been duly authorized and that this Agreement constitutes a valid and binding obligation enforceable against it in accordance with its terms.

7.2 Supplier Warranty. Supplier warrants that the Product delivered shall materially conform to the agreed specifications at the time of delivery and shall be free from material defects in title. EXCEPT AS EXPRESSLY SET FORTH HEREIN, NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, ARE MADE.

8. Indemnification

8.1 Supplier Indemnity. Supplier shall defend, indemnify and hold harmless Offtaker and its affiliates from and against any and all claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of Supplier's breach of this Agreement, negligence, willful misconduct, or supplier's failure to deliver Product that conforms to the specifications.

8.2 Offtaker Indemnity. Offtaker shall defend, indemnify and hold harmless Supplier and its affiliates from and against any and all claims, liabilities, losses, damages and expenses arising out of Offtaker's use, sale or distribution of the Product after title has passed, or Offtaker's breach of this Agreement.

9. Limitation of Liability

9.1 Exclusion of Consequential Damages. Except for liability arising from gross negligence, willful misconduct, or indemnities for third-party claims, neither party shall be liable to the other for consequential, incidental, punitive or exemplary damages, including loss of profit.

9.2 Cap. Except for indemnities, fraud, or willful misconduct, each party's aggregate liability under this Agreement shall not exceed the total amounts paid or payable by Offtaker to Supplier under this Agreement during the preceding .

10. Force Majeure

10.1 Excuse for Performance. Neither party shall be liable for any delay or failure to perform its obligations (other than payment obligations) to the extent such delay or failure is caused by Force Majeure, including acts of God, flood, fire, earthquake, storm, strike, labor unrest, war, terrorism, governmental act, embargo, shortage of feedstock, breakdown of critical equipment or other causes beyond the reasonable control of the affected party.

10.2 Notice and Mitigation. The affected party shall promptly notify the other party of the occurrence of the Force Majeure event and shall use commercially reasonable efforts to mitigate the effect of the Force Majeure and to resume performance.

11. Confidentiality

11.1 Confidential Information. Each party acknowledges that terms of this Agreement, commercial information, technical data and other confidential information disclosed by one party to the other constitute Confidential Information. The recipient shall not disclose Confidential Information to any third party except as required by law or with the disclosing party's prior written consent.

11.2 Exception. Confidential Information does not include information that is or becomes publicly known through no breach of this Agreement, already in the recipient's possession, or rightfully obtained from a third party free of confidentiality obligations.

12. Assignment

12.1 Neither party shall assign or transfer this Agreement or any of its rights or obligations without the prior written consent of the other party, such consent not to be unreasonably withheld; provided, however, that either party may assign this Agreement in its entirety, without consent, to a successor in interest by merger, acquisition or sale of substantially all of its assets relating to the Product.

13. Notices

13.1 All notices required or permitted hereunder shall be in writing and delivered to the parties at the following addresses by certified mail, courier or email (if confirmed in writing). Notices shall be effective upon receipt.

14. Amendments; Waiver; Counterparts

14.1 Amendments. No amendment or modification of this Agreement shall be effective unless in writing and signed by duly authorized representatives of both parties.

14.2 Waiver. Failure by either party to enforce any provision of this Agreement shall not be construed as a waiver of such provision or of the right to enforce such provision at a later time.

14.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Facsimile or electronic signatures shall be binding as originals.

15. Governing Law; Entire Agreement; Severability

15.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

15.2 Entire Agreement. This Agreement, including any schedules and attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral.

15.3 Severability. If any provision of this Agreement is held to be invalid or unenforceable, such invalidity or unenforceability shall not affect the remaining provisions, which shall continue in full force and effect.

16. Miscellaneous

16.1 Taxes. Prices are exclusive of taxes, duties and levies, which shall be paid by the party legally obligated to pay such taxes unless otherwise agreed. 16.2 Remedies. The rights and remedies provided herein are cumulative and in addition to any other rights available at law or equity.
