What an Oil & Grease Service Agreement Covers

An Oil & Grease Service Agreement is a written contract that defines the commercial relationship between a service provider and a customer for the collection, removal, treatment, recycling, or disposal of used oil, grease, and related lubricants. The agreement sets scope of work, service frequency, collection procedures, payment terms, insurance and liability allocations, environmental compliance responsibilities, and termination conditions. It may include manifests, chain-of-custody procedures, and required permits when handling regulated waste. Clear terms reduce operational risk and help demonstrate due diligence to regulators and customers.

Why a Clear Agreement Matters for Operations and Compliance

A concise, well-drafted Oil & Grease Service Agreement allocates responsibilities, reduces disputes, and documents regulatory controls and payment terms in writing.

Why a Clear Agreement Matters for Operations and Compliance

Who Typically Prepares and Signs This Agreement

The Oil & Grease Service Agreement is commonly completed by organizations that generate or manage used oil and grease, and by licensed service providers who collect or treat such materials.

  • Municipal fleet and public works departments that require scheduled pickup and documented chain of custody
  • Automotive repair shops and service centers that generate used oil and grease regularly
  • Commercial kitchens and food service operators that produce grease trap waste

Both parties should review regulatory obligations and insurance terms before signing; authorized representatives with signing authority must execute the contract.

Core Components to Include in the Agreement

A professional Oil & Grease Service Agreement organizes obligations, compliance steps, and payment mechanics so both parties understand operational expectations and legal risk.

Scope of Services

Describe exactly what materials are collected, accepted quantities, whether sampling or testing is included, and any exclusion lists for prohibited materials or hazardous wastes.

Service Schedule

Specify pickup frequency, response times for emergency collections, acceptable delivery windows, and procedures for missed or rescheduled services.

Fees and Payment

Detail unit pricing, flat fees, invoicing cadence, late payment penalties, and any pass-through costs such as disposal surcharges or permit fees.

Environmental Compliance

Assign statutory responsibilities, required manifests or shipping papers, recordkeeping obligations, and notification processes for spills or releases.

Insurance and Indemnity

State minimum insurance limits (CGL, auto, pollution liability), indemnification scope, and procedures for claims handling and defense.

Termination and Remedies

Outline termination for cause or convenience, cure periods, post-termination removal of materials, and dispute resolution methods.

Common Mistakes to Avoid When Preparing the Agreement

  • Omitting manifest, chain-of-custody, or permit references can create regulatory exposure during inspections or spills.
  • Failing to require proof of insurance or specific pollution liability limits exposes the customer to cleanup and third-party claims.
  • Using ambiguous payment terms or unspecified surcharges causes invoicing disputes and delayed payments for services rendered.

Potential Consequences of an Incorrect or Incomplete Agreement

Regulatory Fines: Administrative penalties
Cleanup Liability: Cost exposure for releases
Service Interruptions: Suspended collections
Contract Disputes: Litigation or arbitration
Coverage Gaps: Insurer denial of claims
Reputational Harm: Public scrutiny and trust loss
